To become Effective, the Scheme must be approved at the Court Meeting by a majority in number of the Scheme Shareholders (or the relevant class or classes thereof, if applicable) who are on the register of members of ADVANZ PHARMA at the Scheme Voting Record Time present and voting, whether in person or by proxy, representing not less than three-quarters of the voting rights of the ADVANZ PHARMA Shares voted by those Scheme Shareholders (or the relevant class or classes thereof, if applicable).

The Court Meeting has been convened at the direction of the Court for 9.00 a.m. (Toronto Time) /2.00 p.m. (London Time) on 29 March 2021 for Scheme Shareholders to consider and, if thought fit, approve the Scheme.At the Court Meeting, voting will be by poll (remotely, via the Virtual Meeting Platform) and each Scheme Shareholder present remotely or by proxy will be entitled to one vote for each Scheme Share held as at the Scheme Voting Record Time.
If the Jersey Court Meeting is adjourned, the Scheme Voting Record Time for the adjourned meeting will be 48 hours prior to the time set for such adjourned meeting.
