Voting Record Time definition

Voting Record Time means the time and date specified in the Scheme Document by reference to which entitlement to vote on the Scheme will be determined, expected to be 6.00 p.m. on the day which is two days before the date of the Court Meeting or, if the Court Meeting is adjourned, 6.00 p.m. on the day which is two days before the date of such adjourned Court Meeting; and
Voting Record Time means the time and date to be specified as the voting record time for the Scheme Meeting (or any adjournment thereof) in the Scheme Document;
Voting Record Time has the meaning given to it in the Announcement; and

  • Britvic ADS Holders that wish to vote directly on the Scheme and the Acquisition must surrender their Britvic ADS to the Depositary, pay the Depositary's fees and charges in accordance with the Britvic ADS Programme Deposit Agreement and become holders of Britvic Shares prior to the Voting Record Time, and in each case subject to and in accordance with the terms of the Britvic ADS Programme Deposit Agreement.

  • Britvic ADS Holders that wish to vote directly on the Scheme and the Acquisition should take care to surrender their Britvic ADS in time to permit processing to be completed by the Depositary and its custodian prior to the Voting Record Time.


More Definitions of Voting Record Time

Voting Record Time means the date and time specified in the Scheme Document by reference to which entitlement to vote at the Court Meeting will be determined

The Acquisition and the Scheme are governed by the Laws of Ireland and subject to the exclusive jurisdiction of the courts of Ireland.
