The Company shall cause a meeting of its shareholders (the "Company Shareholder Meeting") to be duly called and held as soon as reasonably practicable for the purpose of voting on the approval and adoption of this Agreement and the Merger.
Without limiting the foregoing, the Shareholder hereby authorizes the Company to publish and disclose in the proxy materials to be used in connection with the solicitation of proxies relating to the Company Shareholder Approvals at the Company Shareholder Meeting the Shareholder’s identity and ownership of the Covered Shares and the nature of the Shareholder’s obligations under this Agreement.
If at any time prior to the Company Shareholder Meeting there shall occur any event that should be set forth in an amendment or supplement to the Company Proxy Statement, the Company will promptly prepare and mail to its shareholders such an amendment or supplement.
Parent shall vote all shares of Company Stock beneficially owned by it or any of its Subsidiaries in favor of adoption of this Agreement at the Company Shareholder Meeting.
As of the date hereof, the Shares are issued and outstanding and entitled to be voted at the Company Shareholder Meeting and the Shareholder does not beneficially own any warrants, options or other rights to acquire any shares of Company Common Stock.
