Research Program Know-How definition

Research Program Know-How means any and all Know-How, whether or not patentable, (a) made solely by or on behalf of a Party or its representatives in the conduct of activities under the Research Plan or (b) made jointly by or on behalf of (i) Sangamo or its representatives, and (ii) Pfizer or its representatives, in the conduct of activities under the Research Plan.
Research Program Know-How means, collectively, all inventions, discoveries, data, information, methods, techniques, technology and other results, whether or not patentable but which are not generally known, regarding Research Program Technology and Information or the use thereof.
Research Program Know-How means any tangible or intangible know-how, trade secrets, inventions (whether or not patentable), data, preclinical and clinical results, physical, chemical or biological material, and other information, including information concerning target-peptide interaction developed in the Research Program (including, without limitation, the functional role of the Molecular Target involved) that is within the Field of Research, and any replication or any part of such information or material; PROVIDED, HOWEVER, that the term "Research Program Know-How" as defined specifically excludes Research Program Patents and any compounds identified in Internal Xxxxxxx Research.
