Settled Defendants definition

Settled Defendants means, in respect of each Proceeding, any Defendant (excluding the Settling Defendants) that executes its own settlement agreement with the Plaintiffs in that Proceeding and whose settlement agreement becomes effective in accordance with its terms, whether or not such settlement agreement is in existence at the Date of Execution.
Settled Defendants. Claim” means any and all claims, rights or causes of action or liabilities whatsoever, whether based on federal, provincial, local, statutory or common law or any other law, rule or regulation, including both known claims and unknown claims, that have been or could have been asserted in the Nortel II Actions or any forum by the Nortel II Defendants or any of them or the successors and assigns or any of them against the Representative Plaintiffs, any Class Member, or their counsel, and that arise out of or relate in any way to the institution, prosecution, or settlement of the Nortel II Actions (except for claims or proceedings to enforce the Settlement including, without limitation, any of the terms of the Stipulation or orders or judgments issued by the Courts in connection with the Settlement, confidentiality obligations or in respect of the Derivative Application);
Settled Defendants. Released Claims” means all actions, claims, debts, demands, liabilities, losses, matters, rights, suits and causes of action of any nature whatsoever, known or unknown, contingent or absolute, mature or immature, discoverable or undiscoverable, whether concealed or hidden, suspected or unsuspected, whether based in law or equity, arising under federal, state, common or foreign law, or any other law, rule or regulation, which now exist or heretofore have existed, that have been or could have been asserted in the Litigation or any forum by the Released Persons or any of them against Class Representative, Class Members, or Class Representative’s Counsel, that arise out of or relate in any way to the institution, prosecution, or settlement, of the claims against the Released Persons, except for claims related to the enforcement of the Settlement.

In all events, Lead Plaintiffs, Plaintiffs’ Counsel, and all Class Members shall have no liability or responsibility for Defendants’ Insurance Claims.
