As soon as reasonably practicable following the delivery of any First Commercial Production Notice or Acceleration Event Notice (and by no later than five (5) Business Days thereafter), if any Adjustment Events have occurred following the Closing Date the parties shall meet to discuss (acting reasonably and in good faith) and agree in writing any required adjustments to the Reference Share Price as a result of any Adjustment Events occurring following the Closing Date.
In the event that an adjustment to the Reference Share Price is in the process of being agreed or determined pursuant to the terms of this Agreement and a subsequent Adjustment Event occurs prior to such agreement or determination in respect of the first Adjustment Event, the parties agree that any adjustment to the Reference Share Price required by the second Adjustment Event shall be made to the Reference Share Price as adjusted for the first Adjustment Event.
