Reference Share Price definition

Reference Share Price means, on any day, the closing price of a Reference Share on the primary exchange on which the Reference Share is traded, as reported by such exchange, provided that if the primary exchange on which a particular Reference Share is traded is not open for trading on that day, if there is no closing price on that day or if there is a market disruption event affecting such Reference Share on that day, the closing price on the immediately preceding day on which such exchange is open for trading (and for which there is a closing price and no market disruption event) will be used, except if this occurs on the Issue Date or an Average Valuation Date, in which case the closing price on the immediately following day on which such exchange is open for trading (and for which there is a closing price and no market disruption event) will be used, up to a maximum postponement of five Business Days. If the closing of the primary exchange, the absence of a closing price or the market disruption event should last for five Business Days, the closing price of the relevant Reference Share will be a price determined on such fifth Business Day by the Calculation Agent in its sole discretion and in good faith using market-accepted practices.
Reference Share Price means, on any day, the closing price of a Reference Share on the Exchange as reported by the applicable Price Source, provided that if the primary exchange on which a particular Reference Share forming part of the Reference Portfolio is not opened for trading or if there is no closing price on that day, the closing price on the immediately preceding day on which such exchange is opened for trading will be used (except if this occurs on the Issuance Date or on the Valuation Date, in which case the closing price on the immediately following day on which such exchange is opened for trading will be used).
Reference Share Price means, on any day, the closing price of a Reference Share on the Exchange as reported by the applicable Price Source and as converted into Canadian dollars at the applicable FX Rate for any Reference Share denominated in a foreign currency, provided that if the Exchange on which a particular Reference Share forming part of the Reference Portfolio is not opened for trading or if there is no closing price on that day, the closing price on the immediately preceding day on which such Exchange is opened for trading will be used as converted into Canadian dollars at the applicable FX Rate on that day for any Reference Share denominated in a foreign currency except if this occurs on the Issuance Date, on a Average Valuation Date or on the Final Valuation Date, in which case the closing price on the immediately following day on which such Exchange is opened for trading will be used as converted into Canadian dollars at the applicable FX Rate on that day for any Reference Share denominated in a foreign currency, subject to a maximum postponement of five Business Days, after which time the closing price will be the value equal to the Calculation Agent’s estimate of the Reference Share Price as at such date, converted into Canadian dollars at the applicable FX Rate on that day, reasonably taking into account all relevant market circumstances.

  • As soon as reasonably practicable following the delivery of any First Commercial Production Notice or Acceleration Event Notice (and by no later than five (5) Business Days thereafter), if any Adjustment Events have occurred following the Closing Date the parties shall meet to discuss (acting reasonably and in good faith) and agree in writing any required adjustments to the Reference Share Price as a result of any Adjustment Events occurring following the Closing Date.

Reference Share Price means USD 39.5621 per Share, converted to NOK 413 using the Fixed Rate of Exchange, always provided that, in connection with any determination of the Change of Control Conversion Price, the Reference Share Price shall be adjusted pro rata in accordance with the provisions relating to the adjustment of the Conversion Price, pursuant to Clause 12 (Conversion Terms) and Clause 13 (Adjustment of the Conversion Price).
