Per Share Amount definition

Per Share Amount is defined in Section 1.1

Per Share Amount has the meaning set forth in the Recitals.

Per Share Amount means the amount obtained by dividing the Closing Transaction Value by the number of Exchangeable Shares.

• The Per Share Amount shall, subject to applicable withholding of taxes, be net to the seller in cash, upon the terms and subject to the conditions of the Offer.

More Definitions of Per Share Amount

Per Share Amount means the sum, rounded to the nearest one-tenth of a cent, of (A) $14.22 plus (B) the product, rounded to the nearest one tenth of a cent, of 0.145 (the “Share Ratio”) times the Alleghany Closing Price.
