Final Share Price definition

Final Share Price for a Share means the Closing Price on the Exchange (or where such Exchange does not announce or publish a Closing Price, the last traded price, or, if necessary, the mid-market price) for that Share on the Final Valuation Date, subject to adjustments that may be made pursuant to “DESCRIPTION OF THE NOTES – Adjustments and Exceptional Circumstances”.

Final Share Price means the price of one Share in the Share Currency quoted on the Exchange at the Valuation Time on the Expiration Date (or such other definition, if any, as may be specified in the Final Terms), as determined by the Calculation Agent.

Final Share Price means, with respect to any Measurement Period, the average closing price of the Common Shares on the Stock Exchange on the ten (10) consecutive trading days having the highest average closing prices during the final thirty (30) trading days in the last year of the Measurement Period.

• The Final Share Price and the Final Business Price shall (subject to any further adjustment, if applicable, pursuant to clause 2.7 or clause 2.8) be adopted for all tax reporting purposes, with the Final Business Price being apportioned between the relevant tangible Business Assets on such basis as the Purchaser shall determine prior to Closing (and the Seller shall enter into all claims and elections for tax purposes which the Purchaser may require to give effect to this apportionment).

• The aggregate amount of the liability of the Seller for all Tax Claims shall not exceed the Final Share Price.

• The UK Final Share Price and the Irish Final Share Price shall (subject to any further adjustment, if applicable, pursuant to clauses 2.7 and 2.8) be adopted for all tax reporting purposes.

• Any payments required to be made under the Financial Adjustments shall be treated as adjusting the relevant Initial Share Price and the Initial Business Price (as they stand before any adjustments in accordance with the Financial Adjustments) thus resulting after such adjustments in the respective Final Share Price for the relevant Set of Shares and Final Business Price.

• If the Initial Consideration is greater than the Final Share Price, RBS shall pay the difference to the Buyer.

More Definitions of Final Share Price

Final Share Price means, with respect to a Reference Share (subject, in the case of a Market Disruption Event, to a possible determination by the Calculation Agent in the manner described in the section “Description of the Notes — Market Disruption Event” herein), the Closing Price of such Reference Share on the Final Valuation Date.

Final Share Price means, in respect of a Share, the price of one Share at the Valuation Time on the Valuation Date as determined by the Issuer.

Final Share Price means, with respect to any Measurement Period, the volume weighted average trading price for a share of Common Stock on the NYSE (or any other securities exchange on which the Common Stock is principally traded) over the ten consecutive trading days ending on the last trading day of such Measurement Period.

Final Share Price means the share closing price of one underlying share times the adjustment factor, each as determined by the Calculation Agent on the valuation date.

Final Share Price has the meaning given in clause 2.2;
