Final Share Price definition

Final Share Price for a Share means the Closing Price on the Exchange (or where such Exchange does not announce or publish a Closing Price, the last traded price, or, if necessary, the mid-market price) for that Share on the Final Valuation Date, subject to adjustments that may be made pursuant to “DESCRIPTION OF THE NOTES – Adjustments and Exceptional Circumstances”.

Final Share Price means the price of one Share in the Share Currency quoted on the Exchange at the Valuation Time on the Expiration Date (or such other definition, if any, as may be specified in the Final Terms), as determined by the Calculation Agent.

Final Share Price means, with respect to any Measurement Period, the average closing price of the Common Shares on the Stock Exchange on the ten (10) consecutive trading days having the highest average closing prices during the final thirty (30) trading days in the last year of the Measurement Period.

• A Market Disruption Event may delay the determination of a Final Share Price and consequently the calculation of the Variable Return payable.

• Any significant degree of color blindness (more than 25 percent or more error rate on approved color plate test) is disqualifying.

• A Market Disruption Event may delay the determination of a Final Share Price and consequently the calculation of the Va riable Return payable.

• If a market disruption event exists on the Valuation Date, the Maturity Date of the Securities will be the later of the original Maturity Date and the third business day following the day on which the Final Share Price is calculated.

Final Share Price means, in respect of a Share, the price of one Share at the Valuation Time on the Valuation Date as determined by the Issuer.

Final Share Price means, with respect to any Measurement Period, the volume weighted average trading price for a share of Common Stock on the NYSE (or any other securities exchange on which the Common Stock is principally traded) over the ten consecutive trading days ending on the last trading day of such Measurement Period.

Final Share Price means the share closing price of one underlying share times the adjustment factor, each as determined by the Calculation Agent on the valuation date.

Final Share Price means, with respect to a Reference Share (subject, in the case of a Market Disruption Event, to a possible determination by the Calculation Agent in the manner described in the section “Description of the Notes-Market Disruption Event” herein):

Final Share Price means the Common Stock’s 40 trading-day trailing average over the period ending on (and including) December 31, 2022; provided, however, that if a Corporate Transaction occurs prior to or on December 31, 2022, the Final Share Price shall mean the price per Share paid by the acquiror in the Change in Control transaction or, to the extent that the consideration in the Corporate Transaction is paid in stock of the acquiror or its affiliate, then, unless otherwise determined by the Committee (including in |US-DOCS\112216600.5|| connection with valuing any shares that are not publicly traded), the Final Share Price shall mean the value of the consideration paid per Share based on the average of the closing trading prices of a share of such acquiror stock on the principal exchange on which such shares are then traded for each trading day during the five consecutive trading days ending on and including the date on which a Corporate Transaction occurs.
