Programme Agreements definition

Programme Agreements means, at any time, the Material Contracts, and any subordinated loan agreement, hedging agreement, credit enhancement agreement, asset interest enhancement agreement in effect at such time.

Programme Agreements means the Trust Indenture, the Declaration of Trust, the Financial Services Agreement and all other applicable agreements as set out in the Trust Indenture.

• The foregoing provisions of this Section 6.03 do not apply to the extent that in any circumstances there has been dishonesty, bad faith, wilful misconduct, fraud, gross negligence or reckless disregard of a duty by the Issuer Trustee, its directors, officers, employees or agents excluding the other parties to the Programme Agreements.

• The Trust will carry on its business activities in order to produce income for the benefit of the Beneficiary, all in accordance with and subject to the terms of the Programme Agreements.

• In accordance with and subject to the terms of the Programme Agreements, the Issuer Trustee will have the power to sell, convey, transfer and assign all Trust Property free and clear of any and all trusts hereby established, at public or private sale, for cash or on terms, with or without advertisement and subject to such restrictions, stipulations, agreements and reservations as it may deem proper.

• The Trust represents and warrants to the Administrative Agent that the execution, delivery and performance by the Trust of this Agreement are within the powers of the Trust and have been duly authorized by all necessary action on the part of the Trust, and do not contravene (i) the Programme Agreements or (ii) any law or contractual restriction binding on or affecting the Trust.

• The Administrative Agent hereby acknowledges that it has been provided with a copy of the Programme Agreements in effect on the date hereof and that it is familiar with the terms thereof.

Programme Agreements shall have the meaning specified in the Trust Indenture;

Programme Agreements means, at any time, collectively, this Indenture, any Related Supplement, any Hypothec, the Declaration of Trust, the Financial Services Agreement, the Financial Services Sub-Agency Agreement, any agreements relating to Hedging Transactions, Securitization Agreements, Credit Enhancement Agreements, Servicing Agreements, agreements under which a Back-Up Servicer is engaged to act in such capacity, Subordinated Loan Agreements, Custodial Agreements, Note Purchase Agreements, Underwriting Agreements and indemnities of Originators in favour of the Trust, in each case, in effect at such time;

Programme Agreements this Indenture, the Declaration of Trust, the Financial Services Agreement, the Financial Services Sub-Agency Agreement and any other Programme Agreement to which the Trust is a party relating to such Notes or the Related Asset Interests;
