VIE Agreements definition

VIE Agreements means the Exclusive Service Agreement, the Exclusive Call Option Agreement, the Shareholder Voting Rights Proxy Agreement and the Equity Pledge Agreement entered into by and among Party A, Party B and Party C, including any supplemental agreements or amendments to such agreements, and any other agreements, contracts or legal documents executed or issued by one or more Parties from time to time to ensure the performance of the aforesaid agreements, signed or accepted by Party A in writing.
VIE Agreements means, collectively, the contracts and instruments, which enable the Company to control and consolidate with its financial statements each Group Company and its Affiliates in respect of which at least a majority of the equity is not directly held but is controlled by the Company.
VIE Agreements means the documents as set forth in Appendix B hereto.

  • None of the parties to any of the VIE Agreements has sent or received any communication regarding termination of, or intention not to renew, any of the VIE Agreements, and no such termination or non-renewal has been threatened by any of the parties thereto.

VIE Agreements means, collectively, the agreements, contracts, arrangements and documents implementing the VIE Structure of the Group Companies consisting of (i) Exclusive Technology Consulting and Service Agreement entered by and between the WFOE and the Domestic Company, (ii) Business Operation Agreement entered by and among the WFOE, the Domestic Company and certain other parties thereto, and the Irrevocable Voting Proxy entered into by the shareholders of the Domestic Company and certain other parties thereto, attached to the Business Operation Agreement , (iii) Option Agreement entered by and among the WFOE, the Domestic Company and certain other parties thereto, (iv) Equity Pledge Agreement entered by and among the WFOE, the Domestic Company and certain other parties thereto, and (v) Letter of Consent entered into by the spouse of each Founder.
VIE Agreements means the agreements described under the caption “Our Corporate Structure” in the section “Our History and Corporate Structure” in the Registration Statement which are listed in Schedule I.
