Permitted Disclosee definition

Permitted Disclosee has the meaning set out in Section 6.1(a).

• A Party that discloses Confidential Information of another Party to a Permitted Disclosee shall be fully responsible and liable if and to the extent any such Permitted Disclosee makes any unauthorized disclosure in breach of this Agreement.

• In any event, the Second Party will be responsible for any breach of this Agreement by such employees or Permitted Disclosee, and the Second Party shall take all reasonable measures (including but not limited to initiating court proceedings) to enforce the terms of this Agreement with respect to such employees or Permitted Disclosee.

• In addition, to the extent that an Independent Evaluator is engaged by SCE to monitor and participate in the Solicitation or Bilateral Offer process, such Independent Evaluate shall be deemed to be a Permitted Disclosee.

• The Second Party will (i) inform each Permitted Disclosee of the requirements of this Agreement, (ii) ensure that each Permitted Disclosee complies with each of the Second Party's obligations, as set forth in this Agreement, and (iii) obtain written agreements from each Permitted Disclosee, requiring such Permitted Disclosee to abide by the requirements of this Agreement.

• The Recipient acknowledges and agrees that in the event that the Recipient or any Permitted Disclosee breaches any of the Recipient’s obligations set forth in this Agreement: (a) the Disclosing Party will suffer severe and irreparable injury; (b) the Disclosing Party’s remedy at law for damages will be inadequate; and (c) the Disclosing Party will be entitled to seek an injunction to restrain any threatened or continuing breach by the Recipient or any Permitted Disclosee.

More Definitions of Permitted Disclosee

Permitted Disclosee has the meaning ascribed to such term in Section 9.11(a) hereof.

Permitted Disclosee means any former partners of a Purchaser who retained an economic interest in such Purchaser, and any current or prospective partner, limited partner, general partner or management company of such Purchaser (or any employee or representative of any of the foregoing).

Permitted Disclosee means, with respect to any Party, (i) its direct parent and subsidiary companies, (ii) officers, directors, employees, agents, and representatives of such Party and those companies described in subpart (i) hereof, and (iii) attorneys, accountants, and independent professional advisors of such Party and those companies described in subpart (i) hereof. Notwithstanding the foregoing, a person or entity shall not constitute a Permitted Discloseeof ReceivingParty if any of the followingapplies: (1) disclosure is not made to such person or entity on a good faith, need-to-know basis in furtherance of (and solely to the extent required to so further) the Purpose; (2) such person or entity is providing services to ReceivingParty with respect to the Purpose; or (3) disclosure is made in circumvention of, or in an attempt to circumvent, the provisions of this Agreement. For greater certainty, Receiving Party may disclose Confidential Information to its Permitted Disclosees in accordance with this Agreement.
