Permitted Disclosee definition

Permitted Disclosee has the meaning set out in Section 6.1(a).

  • A Party that discloses Confidential Information of another Party to a Permitted Disclosee shall be fully responsible and liable if and to the extent any such Permitted Disclosee makes any unauthorized disclosure in breach of this Agreement.

  • In any event, the Second Party will be responsible for any breach of this Agreement by such employees or Permitted Disclosee, and the Second Party shall take all reasonable measures (including but not limited to initiating court proceedings) to enforce the terms of this Agreement with respect to such employees or Permitted Disclosee.

More Definitions of Permitted Disclosee

Permitted Disclosee has the meaning ascribed to such term in Section 9.11(a) hereof.

For greater certainty, Receiving Party may disclose Confidential Information to its Permitted Disclosees in accordance with this Agreement.
