The Company (with the affirmative vote of two-thirds of the entire membership of the Board of Directors at a meeting of the Board of Directors called and held for such purpose) or the Executive may elect to terminate the automatic extension of the Term set forth in Section 2(a) ("Automatic Extension") by giving written notice of such election.
Any notice given hereunder must be given not less than 60 days prior to the applicable Automatic Extension Date.
Notwithstanding the above, in the event of the occurrence of an Automatic Extension, the Conversion Price shall be equal to the price paid by the public in the Company’s Qualified Financing multiplied by 0.60, subject to adjustment herein.
