The Right Certificates shall be executed on behalf of the Company by the Chief Executive Officer, the Chief Financial Officer and the General Counsel of the Company, either manually or by facsimile signature, and shall have affixed thereto the Company’s seal or a facsimile thereof which shall be attested by the Secretary or any Assistant Secretary of the Company or by such officers as the Board may designate, either manually or by facsimile signature.
