The Company, in its discretion, shall have the right to terminate the Executive’s employment because of the Executive’s Disability during the Employment Period, subject to applicable law.
Notwithstanding the foregoing, the Employment Period shall terminate on the applicable date set forth in Section 6 and shall not include any Severance Period (as hereinafter defined).
During the Employment Period, Executive shall receive from the Company an annual base salary (“Annual Base Salary”) at the rate of $425,000, with such salary to be adjusted at such times, if any, and in such amounts as recommended by the Chief Executive Officer and approved by the Compensation Committee of the Board (the “Compensation Committee”).
In addition to the Annual Base Salary, Executive is eligible to receive an annual cash bonus each fiscal year during the Employment Period as determined in accordance with the Company’s annual incentive plan as in effect from time to time and as approved by the Compensation Committee (the “Annual Bonus”).
In all events, during the Employment Period, the Executive shall be entitled to reasonable and documented air travel and lodging, cellular phone charges and reimbursement for reasonable automobile expenses in connection with approved business travel on an after-tax basis.
