Consulting Period is from the Consulting Agreement Effective Date set forth above until the earlier of (i) the closing of a Change in Control or Corporate Transaction (each as defined in the Plan); and (ii) December 31, 2025 (which date may be extended on a monthly basis by the Company in its sole discretion). The Consulting Period may be earlier terminated as provided in this Agreement, or further extended by the parties by written agreement.

Consulting Period means the period beginning on the Change in Control Date and continuing until the second anniversary of such date.
