For avoidance of doubt, it shall not constitute a material breach if Consultant becomes employed or otherwise provides services to or on behalf of an entity other than the Client during the Consulting Period so long as any such activity does not conflict with Consultant’s continuing obligations to Client under the Confidential Information Agreement or the Separation Agreement.
The Consulting Period may be earlier terminated as provided in this Agreement, or further extended by the parties by written agreement.
Consultant agrees to make himself or herself reasonably available to perform such consulting services throughout the Consulting Period (as defined in Section 14.1), and to be reasonably available to meet with the Client.
During the Consulting Period, Consultant will be deemed to be in Continuous Service for purposes of vesting of the Equity Awards (as defined in the “Separation Agreement” dated July 17, 2025, to which this Agreement is attached as Exhibit A).
Consultant shall invoice Client within ten (10) days after the close of each month during the Consulting Period for services rendered and expenses incurred during the previous month.
