Parish Settling Insurer Entities definition

Parish Settling Insurer Entities means the Parish Settling Insurers and each of their past, present and future parents, subsidiaries, affiliates, and divisions; each of the foregoing Persons’ respective past, present, present, and future parents, subsidiaries, affiliates, holding companies, merged companies, related companies, divisions and acquired companies; each of the foregoing Persons’ respective past, present and future directors, officers, shareholders, employees, partners, principals, agents, attorneys, joint ventures, joint venturers, representatives, and claims handling administrators; and each of the foregoing Persons’ respective predecessors, successors, assignors, and assigns, whether known or unknown, and all Persons acting on behalf of, by, through or in concert with them; except to the extent of such Person’s actual or alleged rights, duties, obligations, or liabilities that arise out of or relate to their status as, or conduct, acts or omissions on behalf of, a Non-Settling Insurer. For the avoidance of doubt, and notwithstanding anything else in the Plan, including any Exhibits, St. Paul International Insurance Company (formerly known as St. Katherine Insurance Company PLC), each of its present parents, subsidiaries, affiliates, and divisions, and each of the foregoing Persons’ respective past and present parents, subsidiaries, and affiliates are Parish Settling Insurer Entities.
Parish Settling Insurer Entities means the Parish Settling Insurers and each of their past, present and future parents, subsidiaries, affiliates, and divisions; each of the foregoing Persons’ respective past, present, and future parents, subsidiaries, affiliates, holding companies, merged companies, related companies, divisions and acquired companies; each of the foregoing Persons’ respective past, present and future directors, officers,

  • All communications will be in accordance with state and federal privacy laws and regulations, and 603 CMR.

  • For the avoidance of doubt, the Trust’s indemnification obligation as to Related Insurance Claims includes the obligation to reimburse Non-Settling Insurers for the share of defense costs (paid or payable by the Non- Settling Insurer) allocable to aArchdiocesan Settling Insurer Entities or Parish Settling Insurer Entities under Minnesota law for the same Tort Claim.

  • In addition, after the Effective Date, Tort Claimants shall be barred from recovering from the Archdiocesan Settling Insurer Entities, the Parish Settling Insurer Entities, or the assets of Protected Parties.

  • The Archdiocesan Settling Insurer Entities and Parish Settling Insurer Entities shall notify the Trust as soon as practicable of any Claims identified in this Section 5.5(f) and of their choice of counsel.

  • Nothing in the foregoing is intended to suggest that Non-Settling Insurers have such a claim against Archdiocesan Settling Insurer Entities or Parish Settling Insurer Entities.

  • Subsidiaries are fully consolidated from the date control is transferred to the Group and minority interests are recognised.

Related to Parish Settling Insurer Entities

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • Insurance Companies means the companies with whom the Insurance Policies are held.

  • Pure captive insurance company means a company that

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • CCR means the California Code of Regulations.

  • Companies means Borrower and its Subsidiaries; and “Company” shall mean any one of them.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Captive insurance company means a pure captive insurance company, association captive insurance company, captive reinsurance company, sponsored captive insurance company, special purpose captive insurance company, or industrial insured captive insurance company formed or licensed under this chapter. For purposes of this chapter, a branch captive insurance company must be a pure captive insurance company with respect to operations in this State, unless otherwise permitted by the director.

  • Insurance group means the persons that comprise an insurance holding company system.

  • Business Entity/Vendor means any natural or legal person, business corporation, professional services corporation, limited liability company, partnership, limited partnership, business trust, association or any other legal commercial entity organized under the laws of New Jersey or any other state or foreign jurisdiction. The definition also includes (i) if a business entity is a for-profit corporation, any officer of the corporation and any other person or business entity that owns or controls 10% or more of the stock of the corporation; (ii) if a business entity is a professional corporation, any shareholder or officer; (iii) if a business entity is a general partnership, limited partnership or limited liability partnership, any partner; (iv) if a business entity is a sole proprietorship, the proprietor; (v) if the business entity is any other form of entity organized under the laws of New Jersey or any other state or foreign jurisdiction, any principal, officer or partner thereof; (vi) any subsidiaries directly or indirectly controlled by the business entity; (vii) any political organization organized under 26 U.S.C.A. § 527 that is directly or indirectly controlled by the business entity, other than a candidate committee, election fund, or political party committee; and (viii) with respect to an individual who is included within the definition of “business entity,” that individual's civil union partner and any child residing with that person. 1

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Sponsored captive insurance company means a captive insurance company:

  • School District/Public Entity means the School District/Public Entity that executes the contract.
