Original Investment Amount definition

Original Investment Amount means the aggregate purchase price paid by the Prior Eligible Holder in the applicable prior financing transaction. The “New Investment Ratio” means the aggregate dollar amount of the Units including Series O Preferred Stock and Series P Preferred Stock purchased by the Holder (the “New Investment Amount”), divided by the Original Investment Amount (provided that the New Investment Ratio will not be greater than 1.0). The Conversion Proportion is equal to the number of shares of Series P Preferred Stock being converted divided by the aggregate total number of shares of Series P Preferred Stock originally issued to the Holder. Solely by way of illustration, in the event a Prior Series F or G Holder purchased an aggregate of $200,000 in Original Investment Amount of Prior Units, such Holder was issued 1,000,000 shares of common stock as part of such Prior Units, calculated based on a price per share of common stock of $0.20, and such Holder purchased $100,000 in New Investment Amount, the New Investment Ratio for such Holder would be 0.5. In the event such Holder was issued 25 shares of Series P Preferred Stock, and converted 12.5 of such shares of Series P Preferred Stock to Common Stock, the Conversion Proportion for such conversion would be equal to 0.5. In the event the Variable Price for such conversion would be equal to $0.10, the number of Make-Good Shares for such conversion would be equal to 250,000 (calculated as follows: [($200,000/$0.10)] * 0.5 *0.5] – [(0.5 * 1,000,000)* 0.5])
Original Investment Amount shall have the meaning specified in Section 2.1 hereof.
Original Investment Amount means the original investment of the Original Majority Investor through the purchase of shares of Series A Preferred Stock representing an aggregate Liquidation Amount of $115 million; provided, that if the Original Majority Investor sells a number of shares of Series A Preferred Stock representing an aggregate Liquidation Amount of up to $35 million to one or more co-investors, in accordance with the terms set forth in Section 2.3(c) of the Purchase Agreement, such Original Investment Amount will be reduced by the amount which the Original Majority Investor sells, up to $35 million.

More Definitions of Original Investment Amount

Original Investment Amount meansINR 202,01,86,060 (Indian Rupees Two hundred two crore one lakh eighty six thousand and sixty) which has been invested by the New Shareholder in the Company in consideration of the issuance and allotment of 24% (Twenty four percent) of the Share Capital by the Company to the New Shareholder;
Original Investment Amount means, with respect to a Permitted Equity Investment or a Permitted Joint Venture Acquisition, the amount of cash and other property invested by the Borrower in connection with such Permitted Equity Investment or Permitted Joint Venture Acquisition, as the case may be.
Original Investment Amount means the amount of capital originally invested in the Company by the 2016 Company Investors pursuant to their initial purchase of securities from the Company. Original Investment Amount shall not include any accrued dividends or interest thereon with respect to the Exchange Securities in connection with the exchange thereof in the 2016 Unit Financings.
Original Investment Amount means the aggregate principal amount of the Bonds of RMB324,366,153.50 which shall be equivalent to US$51,042,339.00 (calculated at the Exchange Rate).

Related to Original Investment Amount

  • Investment Amount means the dollar amount to be invested by Investor to purchase Put Shares with respect to any Put as notified by the Company to Investor in accordance with Section 2.2.

  • PIPE Investment Amount means the aggregate gross purchase price received by Acquiror prior to or substantially concurrently with Closing for the shares in the PIPE Investment.

  • Initial Invested Amount means the sum of the Class A Initial Invested Amount and the Class B Initial Invested Amount.

  • Class B Initial Invested Amount means the sum of the aggregate initial principal amount of the Class B Certificates, which is $48,000,000 on the Closing Date, and the aggregate initial principal amount of any Additional Class B Certificates.

  • Acquisition Amount means, for an Acquired Receivable for which the Acquisition Amount is to be included in Available Funds for a Payment Date, the excess of (i) the present value of the Principal Balance of the Receivable as of the last day of the Collection Period immediately preceding the related Collection Period (calculated using the Discount Rate on the basis of a 360-day year of twelve 30-day months and assuming each amount is received at the end of the Collection Period in which the amount is scheduled to be received) over (ii) all cash collections and any other cash proceeds received by the Issuer on the related Receivable from (but excluding) the last day of the Collection Period immediately preceding the related Collection Period to the day on which such Receivable becomes an Acquired Receivable.

  • Series Invested Amount means the Initial Invested Amount.

  • Senior Principal Distribution Amount As to any Distribution Date, the sum of (i) the Senior Percentage of all amounts described in subclauses (a) through (d) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, (ii) with respect to any Mortgage Loan that became a Liquidated Mortgage Loan during the calendar month preceding the month of such Distribution Date, the lesser of (x) the Senior Percentage of the applicable Non-PO Percentage of the Stated Principal Balance of such Mortgage Loan and (y) either (A) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amount of the Liquidation Proceeds allocable to principal received on the Mortgage Loan or (B), if an Excess Loss was sustained with respect to such Liquidated Mortgage Loan during such preceding calendar month, the Senior Percentage of the amount of the Liquidation Proceeds allocable to principal received with respect to such Mortgage Loan, and (iii) the sum of (x) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amounts described in subclause (f) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, and (y) the Senior Prepayment Percentage of any Subsequent Recoveries described in clause (ii) of the definition of Non-PO Formula Principal Amount for such Distribution Date; provided, however, that if a Bankruptcy Loss that is an Excess Loss is sustained with respect to a Mortgage Loan that is not a Liquidated Mortgage Loan, the Senior Principal Distribution Amount will be reduced on the related Distribution Date by the Senior Percentage of the applicable Non-PO Percentage of the principal portion of such Bankruptcy Loss.

  • Class A Initial Invested Amount means the sum of the aggregate initial principal amount of the Class A Certificates, which is $750,000,000 on the Closing Date, and the aggregate initial principal amount of any Additional Class A Certificates.

  • Unadjusted Principal Distribution Amount As defined in the definition of “Principal Distribution Amount.”

  • Class B Adjusted Invested Amount means, with respect to any date of determination, an amount equal to the Class B Invested Amount less the positive difference, if any, between the Principal Funding Account Balance and the Class A Invested Amount on such date.

  • Extra Principal Distribution Amount As of any Distribution Date, the lesser of (x) the related Total Monthly Excess Spread for such Distribution Date and (y) the related Subordination Deficiency for such Distribution Date.
