There are no agreements, understandings or other arrangements (whether written or oral) being entered into or to be entered into by the Company or any of its Affiliates with any purchaser in respect of the Financing Transaction (the “Other Agreements”) other than those that have been furnished or otherwise made available to the Purchaser on or before the date hereof.
