Oaktree Operating Group Member Agreement means the limited partnership agreement or similar document that governs the terms of an Oaktree Operating Group Member, as amended, modified or restated from time to time.

Oaktree Operating Group Member Agreement means the limited partnership agreement or similar document that governs the terms of an Oaktree Operating Group Member, as amended, modified or restated from time to time. “Oaktree Operating Group Unit” means the aggregate of one common unit in each of the Oaktree Operating Group Members, representing a common equity interest in each such entity. “Oaktree Strategy” means (i) the Oaktree Business; (ii) any business or strategy that is included in any business plan shared with Brookfield prior to the Merger Signing Date; and (iii) any additional strategies in any other industries, as have been or may be agreed by the Brookfield Member, for the Oaktree Operating Group to pursue following the Merger Closing Date; provided, that while there may be, at any given time, overlap between the business or strategy of the Company Group and the business or strategy of the Brookfield Member and its affiliates, no business or strategy of any Parent Fiduciary Entity, Brookfield, BAM Ltd. or any of Brookfield’s or BAM Ltd.’s investment funds, portfolio companies or Affiliates (other than the Company, the SubCo, Oaktree Holdings, Ltd. and any of their respective Subsidiaries), as of the date of this Agreement or in the future, shall be deemed to be a part of the Oaktree Strategy. “OCGH” means Oaktree Capital Group Holdings, L.P., a Delaware limited partnership. “OCGH Partnership Agreement” means the Sixth Amended and Restated Limited Partnership Agreement of OCGH, dated as of September 30, 2019, as amended, modified or restated from time to time. “OCGH Partnership Unit” means limited partnership units of OCGH. “OEP” means Oaktree Equity Plan, L.P., a Delaware limited partnership. “Officers” has the meaning assigned to such term in Section 6.19(a).

Related to Oaktree Operating Group Member Agreement

  • Group Member Agreement means the partnership agreement of any Group Member, other than the Partnership, that is a limited or general partnership, the limited liability company agreement of any Group Member that is a limited liability company, the certificate of incorporation and bylaws or similar organizational documents of any Group Member that is a corporation, the joint venture agreement or similar governing document of any Group Member that is a joint venture and the governing or organizational or similar documents of any other Group Member that is a Person other than a limited or general partnership, limited liability company, corporation or joint venture, as such may be amended, supplemented or restated from time to time.

  • Partnership Group Member means any member of the Partnership Group.

  • Member Agreement means collectively the Membership and Account Agreement and any other account information provided to you by us from time to time.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Network Operating Agreement means an executed agreement that contains the terms and conditions under which the Network Customer shall operate its facilities and the technical and operational matters associated with the implementation of Network Integration Transmission Service under Tariff, Part III. Network Operating Committee:

  • JV Entity means any joint venture of the Borrower or any Restricted Subsidiary that is not a Subsidiary.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • PJM Operating Agreement means the Amended and Restated Operating Agreement of PJM or the successor, superseding or amended versions of the Amended and Restated Operating Agreement that may take effect from time to time.

  • Company Operating Agreement means the Restated Operating Agreement of the Company dated August__, 2019, as amended from time to time.

  • Project Company means Company incorporated by the bidder as per Indian Laws in accordance with Clause no 3.5.

  • Acquired Entities means the Company and the Acquired Subsidiaries.

  • Company Group Member means Company or any Company Affiliate;

  • Co-operation Agreement means the agreement between the Exchange and Oslo Børs with regards to the access to the Linked Order Book;

  • Third-party logistics provider means a person that provides or coordinates warehousing of or other logistics services for a drug or device in interstate commerce on behalf of a manufacturer, wholesale distributor, or dispenser of the drug or device but does not take ownership of the product or have responsibility for directing the sale or disposition of the product.

  • Buyer Group Member means (a) Buyer and its Affiliates, (b) directors, officers and employees of Buyer and its Affiliates and (c) the successors and assigns of the foregoing.

  • Hotel Management Agreement means any hotel management agreement relating to the management and operation of the Real Property together with all supplements, amendments and modifications thereto.

  • Sponsor Management Agreement means the Management Agreement between certain of the management companies associated with the Sponsors and the Borrower.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • ESMP means an environmental and social management plan (including any pest management plan), acceptable to the Association and consistent with the ESMF, adopted for the purposes of a Micro-project, and giving details of the magnitude of the environmental impacts, as well as the specific actions, measures and policies designed to facilitate the achievement of the objective of the ESMF under the Micro-project, including the budget and cost estimates, and sources of funding, along with the institutional and procedural measures needed to implement such actions, measures and policies, as such ESMP may be amended form time to time with the prior written agreement of the Association.

  • JV means Joint Ventures

  • Group Companies means the Company and its Subsidiaries.

  • Group Member means a member of the Partnership Group.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Asset Management Agreement means, as the context requires, any agreement entered into between a Series and an Asset Manager pursuant to which such Asset Manager is appointed as manager of the relevant Series Assets, as amended from time to time.
