Limited Partnership Units definition

Limited Partnership Units has the meaning set forth in Section 2.1 below.

More Definitions of Limited Partnership Units

Limited Partnership Units means units of limited partnership interest.

Limited Partnership Units means units representing the Class A Limited Partnership Interest, and all other interests of any class or classes (however designated after the date hereof) of the Company from time to time outstanding, the holders of which have the right, without limitation as to amount, either to all or to a share of the balance of current distributions or liquidating distributions after the payment of distributions on any interests in the Company entitled to preference.

Limited Partnership Units means Common Units and any other units representing limited partner interests in the Borrower. “Loan” has the meaning specified in Section 2.01. “Loan Documents” means this Agreement, each Note, and the Guaranty Agreements. “Loan Notice” means a notice of (a) a Borrowing, (b) a conversion of Loans from one Type to the other, or (c) a continuation of Eurodollar Rate Loans, pursuant to Section 2.02(a), which, if in writing, shall be substantially in the form of Exhibit A. “Loan Parties” means the Borrower and the Guarantors. “Material Adverse Effect” means (a) a material adverse change in, or a material adverse effect upon, the operations, properties or financial condition of the Borrower and its Subsidiaries taken as a whole; provided however, (i) a downgrade by S&P and/or Moody’s of their respective Debt Rating shall not, in and of itself, be deemed to be a Material Adverse Effect, and (ii) the fact that the Borrower is unable to borrow in the commercial paper market shall not, in and of itself, be deemed to be a Material Adverse Effect; but for purposes of clarity in interpreting the foregoing clauses (i) and (ii), it is agreed that the event(s), change(s), circumstance(s) or condition(s) that causes such downgrade (or an announcement of a potential downgrade or a review for possible ratings change) of the Debt Rating or that causes such inability of the Borrower to borrow in the commercial paper market, and the effect or change caused by such downgrade (or an announcement of a potential downgrade or a review for possible ratings change) of the Debt Rating or by such inability to borrow, will be considered in determining whether there has been a Material Adverse Effect; (b) a material impairment of the ability of any Loan Party to perform its payment obligations, under any Loan Document to which it is a party; or (c) a material adverse effect upon the legality, validity, binding effect or enforceability against any Loan Party of any Loan Document to which it is a party. 16188091_7 15

Limited Partnership Units means units of limited partnership interest in the Partnership.
