Note Depositary definition

Note Depositary means Monte Titoli unless Monte Titoli notifies the Issuer that it is unwilling or unable to continue to act as Note Depositary, in which case an alternate Italian custody institution shall be appointed by the Issuer and shall become the successor Note Depositary in accordance with the terms of the Indenture, and thereafter “Note Depositary” shall mean such successor Note Depositary.
Note Depositary means, with respect to the Notes issuable or issued in whole or in part in global form, any Person specified in Section 2.03 hereof as the Depositary with respect to the Notes, and any and all successors thereto appointed as Depositary hereunder and having become such pursuant to the applicable provision of this Indenture.
Note Depositary means the Clearing Agency, or any nominee thereof, in whose name any Global Notes are registered.
