DTC Custodian definition

DTC Custodian means the custodian of the DTC Notes on behalf of DTC, which initially shall be the Global Agent.
DTC Custodian means the Indenture Trustee as a custodian for DTC.

  • Each Note to be cleared through DTC and represented by an Unrestricted Global Note Certificate or a Restricted Global Note Certificate will be registered in the name of Cede & Co. (or such other entity as is specified in the applicable Pricing Supplement) as nominee for DTC and the relevant Global Note Certificate will be deposited on or about the issue date with the DTC Custodian.

  • The Global Agent shall hold on deposit each DTC Note executed and authenticated as provided in this Section 3(d) as DTC Custodian.

  • Upon issuance of any Common Depositary Note to be held by the DTC Custodian, the Registrar or its duly appointed agent will record the name of Cede & Co., as the nominee of the Common Depositary, as the registered Noteholder of such Common Depositary Note.

  • Each Note evidenced by a Restricted Global Registered Note will be registered in the name of Cede & Co. as nominee for DTC and the Restricted Global Registered Note(s) will be deposited on or about the Issue Date with the DTC Custodian.

  • It is expected that the Unrestricted Global Certificate will bedeposited with and registered in the name of, or a nominee for, a common depositary for Euroclear and Clearstream, Luxembourg on or about the Closing Date, and the Restricted Global Certificate will be deposited with the DTC Custodian, and registered in the name of a nominee for DTC, on or about the Closing Date.
