The Administrator shall monitor the performance of the Issuing Entity and shall advise the Owner Trustee when action is necessary to comply with the Issuing Entity’s duties under the Indenture[, the Swap Counterparty Rights Agreement, the Trust Agreement] and the Note Depository Agreement.
The Administrator shall prepare for execution by the Issuing Entity or shall cause the preparation by other appropriate persons of all such documents, reports, filings, instruments, certificates, notices and opinions as it shall be the duty of the Issuing Entity to prepare, file or deliver pursuant to the Indenture[, the Swap Counterparty Rights Agreement, the Trust Agreement] and the Note Depository Agreement.
The manner of obtaining such consents (and any other consents of Noteholders or Certificateholders provided for in this Agreement) and of evidencing the authorization of the execution thereof by Noteholders and Certificateholders shall be subject to such reasonable requirements as the Indenture Trustee or the Owner Trustee may prescribe, including the establishment of record dates pursuant to paragraph number 2 of the Note Depository Agreement.
In addition, the Administrator shall consult with the Owner Trustee regarding the duties of the Issuing Entity under the Indenture[, the Swap Counterparty Rights Agreement, the Trust Agreement] and the Note Depository Agreement.
