The Securities shall be issued initially in the form of one or more Global Securities, substantially in the form set forth in Exhibit A, deposited with the Common Depositary and registered in the name of USB Nominees (UK) Limited, as nominee of the Common Depositary, for, and in respect of interests held through, Clearstream and the Euroclear Operator, duly executed by the Company and authenticated by the Trustee and bearing the legend set forth in Exhibit B.
The Company shall pay, in euros, all amounts due in cash with respect to the Securities, which amounts shall be paid (A) in the case this Security is a Global Security, by wire transfer of immediately available funds to the account designated by the Common Depositary for the Securities or its nominee; and (B) in the case this Security is a Physical Security, by mailing a check to the address of the relevant Holder set forth in the Security Register for the Securities.
