Note Custodian definition

Note Custodian means the Trustee, as custodian with respect to the Notes in global form, or any successor entity thereto.

Note Custodian means the Trustee when serving as custodian for the Depositary with respect to the Global Notes, or any successor entity thereto.

Note Custodian means the custodian with respect to any Global Note appointed by DTC, or any successor Person thereto, and shall initially be the Trustee.

Examples of Note Custodian in a sentence

• Upon the registration of transfer, exchange or replacement of Notes (or beneficial interests in a Global Note) not bearing (or not required to bear upon such registration of transfer, exchange or replacement) a Private Placement Legend, the Company shall direct the Note Custodian and Registrar to exchange such Notes (or beneficial interests) for beneficial interests in a Global Note (or Certificated Notes if they have been issued pursuant to Section 2.7(c)) that does not bear a Private Placement Legend.

• The aggregate principal amount of each Global Note may from time to time be increased or decreased by adjustments made on the records of the Note Custodian, as provided in this Indenture.

Note Custodian means the Person appointed as custodian for the Depositary with respect to the Global Notes, or any successor entity thereto.
