New MyT Documents definition

New MyT Documents means any and all documentation required to form MYT Holding LLC, effect the MYT Merger (including the MYT Merger Agreement and the MYT LLC Agreement) and implement, issue, and distribute the 2L MyT Distribution and the 3L MyT Distribution, which documentation shall be acceptable to the Consenting Parent, the Required Consenting Noteholders, the Consenting Sponsors, the Required Consenting Term Loan Lenders (solely with respect to their own rights and obligations thereunder and matters related to the Reorganized Debtors, if any), and the Debtors (such consent not to be unreasonably withheld, conditioned, or delayed). Notwithstanding the 2L MyT Distribution Term Sheet, the parties reserve their rights with respect to definitive documents to be filed with the Plan Supplement, including the New MyT Documents.
New MyT Documents means any agreements and/or transactions necessary and appropriate to ensure that the economic and governance rights of the Second Lien Noteholders, the Third Lien Noteholders, the Consenting Sponsors, and the Consenting Parent with respect to MyTheresa are consistent with their prepetition rights, claims and controls, the Existing MyT Transaction Documents and the Transaction Support Agreement (including documentation that gives effect to and preserves the economic and governance effect of the turnover and waterfall provisions concerning MyTheresa set forth in the Transaction Support Agreement and the equivalent provisions in any other prepetition documents and agreements), which documents, agreements and/or transactions shall be acceptable to the Consenting Parent, the Required Consenting Noteholders, the Consenting Sponsors, the Required Consenting Term Loan Lenders (solely with respect to their own rights and obligations thereunder and matters related to the Reorganized Debtors, if any), and the Debtors (such consent not to be unreasonably withheld, conditioned, or delayed).

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • Financing Documents means, collectively, this Agreement, the Note, the Security Documents, the Account Control Agreement and any other agreements, documents or certificates delivered pursuant hereto or thereto.

  • Debt Documents means, collectively, the Credit Agreement, the Designated Indebtedness Documents, any Hedging Agreement evidencing or relating to any Hedging Agreement Obligations and the Security Documents.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.
