New Collaboration Compound definition

New Collaboration Compound means any Targeted AIM that:
New Collaboration Compound means any monoclonal antibodies or related biological compounds that are added by the Parties pursuant to the terms of this Agreement after the Effective Date.

  • In the event [**], the JSC (advised by the JDC, as appropriate) shall promptly nominate a Back-Up Compound to replace the Collaboration Compounds (such Back-Up Compound, a “New Collaboration Compound”), and the Parties shall promptly meet to negotiate in good faith a definitive agreement (or amendment to this Agreement, if appropriate) that sets forth each Party’s rights and obligations with respect to such New Collaboration Compound.

  • The regulatory strategy and activities applicable to any New Collaboration Compound or Product in any stage of Development under this Agreement shall be set forth in the applicable Development Plan with respect to such stage, and approved in the same manner applicable to the other elements of such Development Plan(s).

  • For a New Collaboration Compound being Developed by a Party unilaterally, such Patent Costs shall be borne solely by the Participating Party but be included as costs reimbursable by a Non- Participating Party that exercises its Pre-Phase IIb Opt-In, Pre-Phase III Opt-In or EOP3 Opt-In with respect to such Unilateral Product or New Collaboration Compound.

  • Each Party shall promptly disclose to the other Party in writing, and shall cause its Affiliates, licensees and sublicensees to so disclose, the development, making, conception or reduction to practice of any such Information, inventions, Patents and other intellectual property rights that are conceived, discovered, developed, or otherwise made under or in connection with this Agreement pertaining to any Product or New Collaboration Compound in any Indication in the New Collaboration Field.

  • All Targeted AIMs discovered, characterized or optimized in the course of any Unilateral Discovery during the Exclusivity Period shall become part of the New Collaboration Compound Pool and subject to the same terms and conditions as all other New Collaboration Compounds under this Agreement.

  • The Parties shall undertake any and all Exploratory Development Activities with respect to any New Collaboration Compound, either unilaterally or jointly, only as a Lead Compound or Development Candidate under the Exploratory Development Program in accordance with this Article 4.

  • In the event [**], the JSC (advised by the JDC, as appropriate) shall promptly nominate a Back-Up Compound to replace the Collaboration Compounds (such Back-Up Compound, a “ New Collaboration Compound ”), and the Parties shall promptly meet to negotiate in good faith a definitive agreement (or amendment to this Agreement, if appropriate) that sets forth each Party’s rights and obligations with respect to such New Collaboration Compound.

  • For a Joint Product or New Collaboration Compound being jointly Developed, such Patent Costs shall be included in Development Costs or Commercialization Costs, as applicable.

  • Costs for a particular New Collaboration Compound covered under the applicable Patents subject to such license (or, if such Patents cover more than one (1) New Collaboration Compounds, allocated by the JPC among the Development Costs for such New Collaboration Compounds), in each case prior to the First Commercial Sale of the Product containing such New Collaboration Compound.

  • Clinical and Commercial responsibilities shall follow the terms of the Collaboration Agreement, with each Party being responsible at its sole expense for conducting all Clinical Development, Regulatory Filings, Regulatory Approvals and all Commercialization of the New Collaboration Compound in its respective Territory.

Related to New Collaboration Compound

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Licensed Compound means [***].

  • Licensed Compounds means any EZH2 Compound(s) that is:

  • Development Candidate means a Collaboration Compound designated by Biogen Idec as a Development Candidate in accordance with Section 2.6.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Product Candidate means any pharmaceutical product developed, manufactured and/or tested by or on behalf of the Company that has not received a Regulatory Authorization for commercial distribution other than in connection with pre-clinical or clinical trials.

  • Collaboration Patent Rights means Patent Rights claiming Collaboration Know-How.

  • Collaboration Patents means any and all Patents that claim or cover any of the Collaboration Know-How.

  • Back-Up Compound means, with reference to any particular Development Candidate or Drug Product Candidate, a Compound which (a) has the same principal mode of action (i.e., Potentiator or Corrector) as that Development Candidate or Drug Product Candidate; and (b) was among the group of Compounds, identified by VERTEX as potential additional lead molecules having the same principal mode of action, from which the Development Candidate was selected.

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • Compound means the taking of two or more ingredients and fabricating them into a single

  • Compounds means any or all of the following chemicals, as the context requires:

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.

  • New Product means the Synology-branded hardware product and Synology-branded accessories contained in the original packaging Customer bought from an authorized Synology distributor or reseller. You may see our “New Product” at Product Support Status.

  • Licensed Product means a product, method or service in the Licensed Field of Use, the making, having made, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent.

  • Exempt compound means the same as defined in Rule 2.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Phase I Clinical Study means a human clinical study of a product, the principal purpose of which is a preliminary determination of safety in healthy individuals or patients, as described in 21 C.F.R. 312.21(a).

  • Research Program has the meaning set forth in Section 2.1.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • Initial Indication means the use of a Product for the treatment of opioid addiction.

  • Collaboration Term has the meaning set forth in Section 2.1(h).

  • Hemp product means the same as that term is defined in § 3.2-4112.
