Group Policy /”policy” means the breakdown policy as set out in this document;
Tariff Policy means a Tariff Policy adopted by the Council in terms of Section 74 of the Local Government: Municipal Systems Act 32 of 2000.
R&W Policy means the representation and warranty insurance policy obtained by Buyer or its Affiliates, at their sole cost and expense, in connection with the transactions contemplated by this Agreement.
Clawback Policy is defined in Section 14.
Membership Card means a card issued by the Club to indicate membership of a Membership Scheme.
Investment Policy means the investment policy from time to time determined by the Commission under the Rules;
Procurement Policy means ADB’s Procurement Policy – Goods, Works, Nonconsulting and Consulting Services (2017, as amended from time to time);
Membership Agreement means an agreement in the form of the Gas Supply Hub Membership Agreement in schedule 1.
CSR Policy means the present Corporate Social Responsibility Policy of the Company, which covers the activities to be undertaken by the Company as specified in Schedule VII to the Act and the CSR Expenditure thereon.
Insider Trading Policy means the written policy of the Company pertaining to the purchase, sale, transfer or other disposition of the Company’s equity securities by Directors, Officers, Employees or other service providers who may possess material, nonpublic information regarding the Company or its securities.
Business Travel Policy means our business travel policy. A copy of our current Business Travel Policy is attached as Schedule 1 to Exhibit B.
Executive commissioner means the executive
Code of Conduct means the SFC's Code of Conduct for Persons Licensed by or Registered with the Securities and Futures Commission.
Insider Trading Regulations means the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, as amended from time to time.
The Policy means any insurance policy held by the Landlord for the Property or the Fixtures and Fittings.
Membership means the definition of that term under section 6 as in effect for the particular fiscal year for which a particular calculation is made.
Risk Management Policy means the Risk Management Policy of the Borrower in effect on the date of this Agreement as amended from time to time.
membership dues means the dues established pursuant to the constitution of the Association as the dues payable by employees as a consequence of their membership in the Association and shall not include any initiation fee, insurance premium or special levy (« cotisations » ou « retenues syndicales »);
Risk Retention Rules means the joint final rule that was promulgated to implement the Risk Retention Requirements (which such joint final rule has been codified, inter alia, at 17 C.F.R. § 246), as such rule may be amended from time to time, and subject to such clarification and interpretation as have been provided by the Office of the Comptroller of the Currency, the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation, the Federal Housing Finance Agency, the Commission and the Department of Housing and Urban Development in the adopting release (79 Fed. Reg. 77601 et seq.) or by the staff of any such agency, or as may be provided by any such agency or its staff from time to time, in each case, as effective from time to time as of the applicable compliance date specified therein.
Investment Policies means the investment objectives, policies, restrictions and limitations set forth in the “BUSINESS” section of its Registration Statement, and as the same may be changed, altered, expanded, amended, modified, terminated or restated from time to time.
D&O Tail Policy has the meaning set forth in Section 5.8(c).
Code of Ethics means a statement encompassing the set of rules based on values and the standards of conduct to which suppliers are expected to conform
Executive Mayor means the councillor elected as the executive mayor of the municipality in terms of section 55 of the Municipal Structures Act;
