The Borrower will not, nor will it permit any Obligor to, amend, modify, supplement or waive the Investment Policies (other than a Permitted Policy Amendment).
The Borrower is in compliance in all respects with the Investment Policies (after giving effect to any Permitted Policy Amendments), except to the extent that the failure to so comply would not reasonably be expected to result in a Material Adverse Effect.
