Manufacturer’s Recommendations definition

Manufacturer’s Recommendations means the instructions, procedures, and recommendations which are issued by the manufacturer of any equipment used at the Facility relating to the operation, maintenance, or repair of such equipment, and any revisions or updates thereto from time to time issued by the manufacturer.
Manufacturer’s Recommendations means the instructions, procedures and recommendations which are issued by any manufacturer of the Equipment relating to the operation, maintenance and repair of the Equipment and any revisions to such instructions, procedures and recommendations agreed to by any manufacturer of the Equipment and which are valid at the time such operation, repair and maintenance is being carried out.
Manufacturer’s Recommendations means the written instructions, procedures and recommendations which are issued by the original equipment manufacturer of any plant or equipment used at the Utility Plant relating to the operation, maintenance and repair of such plant or equipment and any revisions thereto issued by the manufacturer, which are valid and applicable at the time such operation, maintenance or repair is undertaken. Notwithstanding the above, Manufacturer’s Recommendations shall not include any instructions, procedures or recommendations of a manufacturer of any plant or equipment that the Owner and the Operator have agreed in writing to exclude from this definition or have agreed in writing should not be followed.

Manufacturer’s Recommendations means the instructions, procedures and recommendations which are issued by Siemens Energy, Inc. or manufacturers (and/or suppliers, vendors or distributors) of any plant, facilities, fixtures, accessories, materials, supplies, or Equipment used at the Facility relating to the use, operation, maintenance and repair thereof, and any revisions thereto issued by the such manufacturers (and/or suppliers, vendors or distributors), which have been delivered to the Contractor in accordance with this Agreement and which are applicable at the time such use, operation, maintenance or repair is undertaken.
Manufacturer’s Recommendations means the written instructions, procedures, recommendations and warranties relating to the operation, maintenance and repair of equipment used at the MRF which are issued by the manufacturer of such equipment, and any revisions thereto, issued by the manufacturer, which: have been delivered to the Contractor;are valid and applicable at the time such operation, maintenance or repair is undertaken;are consistent with the requirements of the insurance underwriters for the MRF; andhave not been expressly identified and superseded by written agreement of the (Town/City/Region/Agency) and Contractor or otherwise superseded by the Maintenance Manual.

  • Promotional Materials means all sales representative training materials and all written, printed, graphic, electronic, audio or video matter, including, without limitation, journal advertisements, sales visual aids, formulary binders, reprints, direct mail, direct-to-consumer advertising, internet postings and sites and broadcast advertisements intended for use or used by either Party or its Affiliates or sublicensees in connection with any promotion of a Product.

  • Instructional material means instructional content that is provided to a public school student, regardless of its format, that includes without limitation printed or representational materials, audio-visual materials, and materials in electronic or digital format, such as materials accessible through the internet; however, Instructional material does not include academic tests or academic assessments.

  • Product Marketing Materials means all marketing materials used specifically in the marketing or sale of the specified Divestiture Product in the Geographic Territory as of the Closing Date, including, without limitation, all advertising materials, training materials, product data, mailing lists, sales materials (e.g., detailing reports, vendor lists, sales data), marketing information (e.g., competitor information, research data, market intelligence reports, statistical programs (if any) used for marketing and sales research), customer information (including customer net purchase information to be provided on the basis of either dollars and/or units for each month, quarter or year), sales forecasting models, educational materials, and advertising and display materials, speaker lists, promotional and marketing materials, Website content and advertising and display materials, artwork for the production of packaging components, television masters and other similar materials related to the specified Divestiture Product.

  • Regulatory Approvals with respect to the Warrantholder, means, to the extent applicable and required to permit the Warrantholder to exercise this Warrant for shares of Common Stock and to own such Common Stock without the Warrantholder being in violation of applicable law, rule or regulation, the receipt of any necessary approvals and authorizations of, filings and registrations with, notifications to, or expiration or termination of any applicable waiting period under, the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended, and the rules and regulations thereunder.

  • Marketing Authorization Application or “MAA” means an application to the appropriate Regulatory Authority for approval to sell the Product (but excluding Pricing Approval) in any particular country or regulatory jurisdiction.
