Licenses and Entitlements definition

Licenses and Entitlements means all of Seller’s right, title and interest in all licenses, certifications, certificates of occupancy, authorizations, approvals, rights, privileges, entitlements and permits relating to the Property issued or approved by any governmental or quasi-governmental authority or other person or entity having authority over any portion of the Property or the operation thereof, and all applications, filings and submittals therefore, in each case relating to the operation, ownership, subdivision, development, use, or maintenance of the Property or any part thereof, including, without limitation, construction permits, grading permits, elevator permits, machinery permits, pool licenses, ingress and egress permits, development agreements, subdivision, parcel and tract maps and approvals thereof, plans and/or permits required under the applicable zoning regulations, variances, utility agreements and commitments, improvement agreements, and the like, to the extent transferable.

Related to Licenses and Entitlements

  • Entitlements means, with respect to any Offering, the license and use types, limits, volume, or other measurement or conditions of permitted use for such Offering as set forth in the applicable Order or Supplemental Terms, including but not limited to any limits or restrictions on the number and categories of users authorized to use such Offering, permitted geographic areas, available storage space, computing power, or other attributes and metrics.

  • Security Entitlements means the rights and property interests of an Entitlement Holder with respect to a Financial Asset.

  • Company Intellectual Property Agreements means any Contract to which the Company or any Subsidiary is a party or is otherwise bound and (A) pursuant to which the Company or any Subsidiary has granted any rights with respect to any Company Intellectual Property or has been granted any rights with respect to any Third-Party Intellectual Property, or (B) that otherwise governs any Company Intellectual Property.

  • Real Property Rights means all rights in or to real property (such as leasehold or other rights to use or access the Project Site), leases, agreements, Permits, easements, including licenses, private rights-of-way, and utility and railroad crossing rights required to be obtained or maintained by Owner in connection with construction of the Project on the Project Site, transmission of electricity to the Grid, performance of the Work, or operation of the Project.
