Business Intellectual Property Rights definition

Business Intellectual Property Rights means (a) the Intellectual Property Rights owned or licensed by the Group Companies and (b) any other Intellectual Property Rights owned or licensed by Seller or any of its other Subsidiaries and used solely in the conduct of the Business.
Business Intellectual Property Rights means the Transferred Business Intellectual Property Rights and the Transferred Entities Business Intellectual Property Rights.
Business Intellectual Property Rights shall have the meaning set forth in Section 2.2.(B) below.

  • The procedure and timeframe for the Vendor transferring documents and assets containing the Business Intellectual Property Rights to the Purchaser.

  • So far as the Vendor is aware, the Vendor does not infringe the Intellectual Property Rights of any third party as a result of its use of the Business Intellectual Property Rights.

Business Intellectual Property Rights means the Intellectual Property Rights owned by the Vendor and relating to or used in connection with the Business at the Completion Date, as listed in Schedule [X] (Intellectual Property);
