Business Licenses. Unless exempt by law, Consultant and all subconsultants shall have acquired, at Consultant’s expense, a business license from the City in accordance with Chapter 5.04 of the Rohnert Park Municipal Code, prior to City's issuance of an authorization to proceed with the Services. Such license(s) shall be kept valid throughout the term of this Agreement. City may withhold compensation from Consultant until such time as Consultant complies with this section.
Business Licenses. Registration Papers, Tax Payment Certification, etc.
Business Licenses. Reporting with respect to Business Licenses shall be governed exclusively by the provisions of Article VI of this Agreement.
Business Licenses. The SUTS System will not require any Taxpayer to obtain separate Jurisdiction business licenses or any other license. Jurisdiction may, at Jurisdiction’s discretion, use the information provided by the Taxpayer in the SUTS System to reach out separately and independently to their Jurisdiction’s Taxpayers for licenses or any other requirements from the Jurisdiction that is not included in the SUTS System.
Business Licenses. SCHEDULE 1.2.5 attached hereto, is a schedule of all material Business Licenses owned by Seller or in which Seller has any rights or licenses in connection with the Product Line, together with a brief description of each. Seller is in compliance in all material respects with the terms of the Business Licenses, except for such violations which, alone or in the aggregate, do not and will not have a material adverse effect on the ability to conduct the business associated with the Product Line. None of the Business Licenses have been, or, to the knowledge of Seller, are threatened to be, revoked, canceled, suspended or modified.

Business Licenses. AHR, the Issuer and each Issuer Subsidiary have all necessary licenses, permits, certificates, authorizations, consents and approvals and have made all necessary filings required under any federal, state, local or foreign law, regulation or rule, and have obtained all necessary licenses, permits, certificates, authorizations, consents and approvals from other persons required in order to conduct their respective businesses as described in both the Pricing Prospectus and the Prospectus, except to the extent that any failure to have any such licenses, permits, certificates, authorizations, consents or approvals, to make any such filings or to obtain any such licenses, permits, certificates, authorizations, consents or approvals would not, individually or in the aggregate, have a Material Adverse Effect; and none of AHR, the Issuer or any Issuer Subsidiary is in violation of, or in default under, any such license, permit, certificate, authorization, consent or approval or any federal, state, local or foreign law, regulation or rule or any decree, order or judgment applicable to AHR, the Issuer or any Issuer Subsidiary, the effect of which could reasonably be expected to have a Material Adverse Effect.
Business Licenses. CONSULTANT shall obtain and maintain a CITY of Xxxxxxx Business License until all Agreement services are rendered and accepted by the CITY.
Business Licenses. Section 3.7 of the Company Disclosure Schedule contains a true and complete list of all Approvals and Orders which are necessary for the ownership or operation of the Acquired Assets or the Business, or that have been issued, granted or otherwise made available to the Company, including any Approvals from Governmental Authorities (the “Business Licenses”). Each Business License is valid and in full force and effect, no Business License is subject to any Lien, limitation, restriction, probation or other qualification and there is no default under any Business License and, to the Knowledge of Company, no event has occurred which constitutes or, after notice or lapse of time or both, would constitute a breach or default under any of the Business Licenses or would permit revocation or termination of any of the Business Licenses. Section 3.7 of the Company Disclosure Schedule specifies the holder of each Business License. There is no Action pending or, to the Knowledge of the Company, threatened that could result in the termination, revocation, limitation, suspension, restriction or impairment of any Business License or the imposition of any fine, penalty or other sanctions for violation of any legal or regulatory requirements relating to any Business License nor, to the Knowledge of the Company, is there any event or set of circumstances which are reasonably likely to result therein. The Company has all Approvals that are necessary in order to enable the Company to own and operate the Acquired Assets and to conduct the Business as presently conducted. None of the Business Licenses shall be affected by the consummation of the transactions contemplated hereby. All Business Licenses are validly held by the Company and the Company has complied and is in compliance, in each case in all material respects, with the terms and conditions of each Business License held by it. The Company has not received notice of any Action, and no such Action is pending, relating to the cancellation, suspension, revocation, modification or non-renewal of any Business License.
Business Licenses. Each of Lead Developer and Affordable Developer has obtained all licenses required to conduct its business in San Francisco and is not in default of any fees or taxes due to the Successor Agency.
