None of the Business Intellectual Property is subject to any outstanding Order that would materially and adversely affect the Acquired Company’s rights under such Business Intellectual Property.
To Seller’s Knowledge, no Person is infringing, violating or misappropriating, any Business Intellectual Property, and no dispute or Action is pending or threatened by the Acquired Company, Seller or its Affiliates against another Person that alleges any infringement, dilution, violation or misappropriation of such Business Intellectual Property.
