Letter of Quiet Enjoyment definition

Letter of Quiet Enjoyment means the letter of quiet enjoyment entered into or to be entered into between the Charterer, the Borrower and the Security Agent in the agreed form.

Letter of Quiet Enjoyment means the letter of quiet enjoyment entered into or to be entered into between the Charterer, the Borrower and the Security Agent in form and substance acceptable to the Lenders.

Letter of Quiet Enjoyment means a letter executed by the Lender or any other beneficiary of a Lessor's Lien, in each case in the form of schedule 6, or such other form as the Lessee and the Lessor may agree;

• During the course of the Charter the Owners have the right to register a substitute mortgage in favour of another bank provided such registration is effected in a similar amount to the loan amount outstanding with the Mortgagee at that time and only if such substitute mortgagee executes a Letter of Quiet Enjoyment in favour of the Charterers in the same form as that provided by the Mortgagee or the form acceptable for the Charterers.

• In which case, the Owners undertake to procure from the Mortgagee a Letter of Quiet Enjoyment in a form and substance acceptable to the Charterers.

• Owners shall procure that any mortgage and charterhire assignment shall be subject to this Charter and to the rights of the Charterers hereunder, in accordance with, and subject to, a Letter of Quiet Enjoyment.

• Owners undertake to procure such a Letter of Quiet Enjoyment from the Vessel’s mortgagees at the time of placing any mortgage on the Vessel.

• Owners shall not place or permit to exist on the Vessel any mortgage unless a Letter of Quiet Enjoyment in equivalent terms to the draft set out at Appendix E has been provided to Charterers by the Vessel’s mortgagees.

More Definitions of Letter of Quiet Enjoyment

Letter of Quiet Enjoyment means a letter addressed or to be addressed by the Security Trustee to the Time Charterer in agreed form (and acknowledged or to be acknowledged by the Borrower and the Time Charterer);

Letter of Quiet Enjoyment means, in respect of a Vessel, a letter of quiet enjoyment entered or to be entered into between the Agent, the relevant charterer and the relevant Borrower in respect of that charterer’s quiet enjoyment of that Vessel under the relevant charterparty, in form and substance satisfactory to the Lenders.

Letter of Quiet Enjoyment means: (i) a letter of quiet enjoyment that includes provisions consistent with those provisions listed in Part 1 of Annex C, so long as the Company or the applicable Guarantor uses its commercially reasonable efforts to also include in such letter of quiet enjoyment the provisions consistent with those listed in Part 2 of Annex C, and otherwise does not include any material obligations or material restrictions on the First Lien Collateral Agent other than such obligations or restrictions contained in the provisions listed in Part 1 or Part 2 of Annex C, as certified by the Company in an Officers’ Certificate delivered to the First Lien Collateral Agent; or (ii) a letter of quiet enjoyment substantially in the form of any letter of quiet enjoyment, subordination and non-disturbance agreement or similar agreement in effect on the date hereof or approved in writing (including electronic mail) by the First Lien Collateral Agent in its capacity as the DIP agent under that certain Senior Secured Superpriority Debtor in Possession Credit Agreement, dated September 25, 2020, entered into by the First Lien Collateral Agent as the DIP Agent, Valaris plc, as lead borrower, certain other Subsidiaries of Valaris plc party thereto from time to time and certain lenders party thereto from time to time (the “DIP Credit Agreement”), as certified by the Company in an Officers’ Certificate delivered to the First Lien Collateral Agent; provided, that each such letter of quiet enjoyment, subordination and non-disturbance agreement or similar agreement referred to in this clause (ii) shall only be approved for use with the applicable counterparty for which it was approved under the DIP Credit Agreement.

Letter of Quiet Enjoyment means a letter of quiet enjoyment in the form attached hereto as Schedule 6;

Letter of Quiet Enjoyment means, with respect to each Engine, a letter of quiet enjoyment substantially in the form of Exhibit E hereto.

Letter of Quiet Enjoyment means a Letter of Quiet Enjoyment in substantially the same form as attached inschedule 7 – Letter of Quiet Enjoyment hereto;

Letter of Quiet Enjoyment means a written confirmation by each of Owner, Servicer, Beneficiary, Superior Lessor, and any collateral agent or security trustee and their respective successors and permitted assigns, in form and substance reasonably satisfactory to Lessee, confirming such person’s covenant not to interfere with Lessee’s quiet and peaceful use and enjoyment of the Aircraft in the absence of an Event of Default.
