Lead Left Arranger. JPMorgan Chase Bank, in its capacity as a Joint Lead Arranger.
Lead Left Arranger has the meaning specified therefor in Section 18.14(a) of the Agreement.
Lead Left Arranger means BMO Capital Markets Corp., in its capacity as left lead arranger and book runner hereunder.

  • Loans under the Term Loan Credit Facility shall be repaid, in inverse order of maturity, with 100% of all net cash proceeds resulting from material asset sales (with a materiality threshold and a reinvestment period to be agreed upon by the Borrower and the Lead Left Arranger) and 100% of all net cash proceeds resulting from debt and equity issuances (with carveouts to be agreed upon by the Borrower and the Lead Left Arranger).

  • The Lead Left Arranger will determine the final commitment allocations and will notify the Borrower of such determinations.

  • The Term Loan Credit Facility will be available on any date from and after the Closing Date until the date that is 90 days after the Closing Date in up to three draws, each in a minimum amount and subject to certain additional conditions with respect to the funding of the Tender Offer to be agreed to by the Borrower and the Lead Left Arranger.

  • Counsel for the Lead Left Arranger and the Administrative Agent: Sidley Austin LLP.

  • Expenses: The Loan Parties will reimburse the Lead Left Arranger and the Administrative Agent (and all Lenders in the case of enforcement costs and documentary taxes) for all reasonable and documented out-of-pocket costs and expenses in connection with the syndication, negotiation, execution, delivery and administration of the Financing Documentation and any amendment or waiver with respect thereto (including, without limitation, reasonable fees and expenses of counsel thereto).

  • The Company shall pay to the Lead Left Arranger and Administrative Agent for their own respective accounts, fees in the amounts and at the times so specified in the Fee Letter.

  • Lead Left Arranger and Bookrunner: JPMorgan Chase Bank, N.A. (in such capacity, the “Arranger”) Administrative Agent: JPMorgan Chase Bank, N.A. (in such capacity, the “Administrative Agent” and in its individual capacity, “JPMorgan”).

  • On and as of the 2019 Incremental Amendment Effective Date, after giving effect to this Amendment, each Loan Party hereby represents and warrants to the Administrative Agent, the Lead Left Arranger and each Lender that this Amendment has been duly authorized by all necessary corporate or other organizational action.
