Landlord Waiver and Consent definition

Landlord Waiver and Consent means a waiver/consent in form and substance satisfactory to Lender from the owner/lessor of any premises not owned by Borrower at which any of the Collateral is now or hereafter located for the purpose of providing Lender access to such Collateral, in each case as such may be modified, amended or supplemented from time to time.
Landlord Waiver and Consent means a waiver/consent in form and substance satisfactory to the Holders from the owner/lessor of any premises not owned by the Issuers or their Subsidiaries at which any of the Collateral is now or hereafter located for the purpose of providing the Collateral Agent (for the benefit of the Holders) access to such Collateral, in each case as such may be modified, amended or supplemented from time to time.
Landlord Waiver and Consent means, with respect to any Leasehold Property, a letter, certificate or other instrument in writing from the lessor under the related lease, in substantially the form of Exhibit I or in such other form reasonably approved by the Administrative Agent.

  • The landlord for each location at which a material portion of Borrower’s inventory or other assets may be located shall have executed a Landlord Waiver and Consent Agreement with Lender acceptable to Lender in Lender’s sole discretion.

Landlord Waiver and Consent means a waiver or consent, in form and substance reasonably satisfactory to Agent and Documentation Agent pursuant to which a mortgagee, owner or lessor of real property on which any Collateral is stored or otherwise located, or a warehouseman, processor or other bailee of any Property of any Credit Party, (i) acknowledges and consents to the Liens of Agent, for the benefit of the Lender Parties, (ii) waives or subordinates any Liens held by such Person on such Property, and (iii) in the case of any such agreement permits Agent access to and use of such real Property for a reasonable amount of time following the occurrence and during the continuance of an Event of Default to assemble, complete and sell any Collateral stored or otherwise located thereon.
