Issuer Security Power of Attorney definition

Issuer Security Power of Attorney means the power of attorney granted by the Issuer to the Issuer Security Trustee pursuant to clause 15 (Power of Attorney) of the Issuer Deed of Charge and substantially in the form set out in schedule 1 (Form of Issuer Security Power of Attorney) to the Issuer Deed of Charge.
Issuer Security Power of Attorney means the power of attorney granted by the Issuer in favour of the Trustee and any Receiver pursuant to clause 14 of the Deed of Charge;
Issuer Security Power of Attorney means the power of attorney executed by the Issuer in favour of the Note Trustee in, or substantially in, the form set out in Schedule 4 (Security Power of Attorney) to the Issuer Security Deed dated on or about the Closing Date.

  • Power of Attorney means a record that grants an agent authority to act in the place of a principal.

  • Guarantor Security Agreement means any Security Agreement executed by any Guarantor in favor of Agent securing the Guaranty of such Guarantor.

  • Issuer Secured Parties means the Trustee in respect of the Trustee Issuer Secured Obligations.

  • Grantors’ Agent means Xxxxxxxx Group Holdings Limited or any other person appointed as agent of the Grantors in accordance with the Principal Finance Documents.

  • Borrower Security Agreement means the Security Agreement, dated as of the date hereof, between Borrower and the Agent.

  • UK Bail-in Powers means the powers under the UK Bail-In Legislation to cancel, transfer or dilute shares issued by a person that is a bank or investment firm or affiliate of a bank or investment firm, to cancel, reduce, modify or change the form of a liability of such a person or any contract or instrument under which that liability arises, to convert all or part of that liability into shares, securities or obligations of that person or any other person, to provide that any such contract or instrument is to have effect as if a right had been exercised under it or to suspend any obligation in respect of that liability.

  • General power of appointment means a power of appointment exercisable in favor of the powerholder, the powerholder's estate, a creditor of the powerholder, or a creditor of the powerholder's estate.

  • Instructing Party shall have the meaning assigned to such term in Section 6.3(a).

  • Power of appointment means a power that enables a powerholder acting in a nonfiduciary capacity to designate a recipient of an ownership interest in or another power of appointment over the appointive property. The term does not include a power of attorney.
