Investor Stockholders definition

Investor Stockholders shall have the meaning given in the Preamble hereto.

Investor Stockholders means each Investor and any Permitted Transferee thereof to whom Shares are transferred in accordance with Section 2.2 of this Agreement, and the term "Investor Stockholder" shall mean any such person.

Investor Stockholders means each Investor and any Permitted Transferee thereof to whom Registrable Securities are transferred in accordance with Section 2.2 of the Stockholders Agreement and Section 9.5 of this Agreement.

• All communications shall be sent, with respect to the Company and the Investor Stockholders, to their respective addresses specified in the Stock Purchase Agreement (or at such other address as any such party may specify by like notice) and, with respect to any other party, to the address of such party as shown in the stock record books of the Company (or at such other address as any such party may specify to all of the above by like notice).

• Each of the Investor Stockholders hereby irrevocably appoints UBS (the "Agent") to act as its true and lawful agent and attorney-in-fact and representative with full power and authority in its name, place and stead to act on its behalf for all purposes under this Agreement.

• Notwithstanding anything to the contrary herein, the Investor Stockholders and the Stockholders acknowledge and agree that the composition of the Compensation and Audit Committees must satisfy any applicable rules and regulations of the SEC and the NASD as in effect from time to time.

• The Sponsor, the Investor Stockholders and the Target Holders may each demand not more than two (2) Underwritten Shelf Takedowns pursuant to this Section 2.1.4 in any twelve (12) month period, for an aggregate of not more than six (6) Underwritten Shelf Takedowns pursuant to this Section 2.1.4 in any twelve (12) month period.

• Special meetings of the Board of Directors may be called by the Chairman, if there be one, the President, a majority of the directors then serving on the Board of Directors or a number of directors designated for nomination pursuant to the Nomination Agreement by Investor Stockholders (as defined therein) owning in the aggregate at least 25% of the outstanding common stock of the Corporation.

More Definitions of Investor Stockholders

Investor Stockholders has the meaning assigned to it in Section 4.10(a).

Investor Stockholders means Stockholders of the Company who are at any relevant time holders of Preferred Shares issued pursuant to the Preferred Stock Purchase Agreement (the "PURCHASE AGREEMENT").

For the avoidance of doubt, the Registrable Securities held by an Investor Stockholder for the purposes of this Agreement shall include all of such Investor Stockholder’s holdings of Registrable Securities, whether held directly or indirectly.

Investor Stockholders means, collectively: (a) (i) Flexible Films, LLC, a Delaware limited liability company, (ii) Flexible Films II, LLC, a Delaware limited liability company, (iii) Southwest Industrial Films, LLC, a Delaware limited liability company, (iv) Southwest Industrial Films II, LLC, a Delaware limited liability company, (v) New York Life Capital Partners, L.P., (vi) The Northwestern Mutual Life Insurance Company, and (vii) Wachovia Capital Partners, LLC; (b) any Person who is or becomes a holder of Stockholder Shares by Transfer of Stockholder Shares from an Investor Stockholder and who becomes a party to this Agreement as an Investor Stockholder pursuant to Section 2.1(c); and (c) any Person who becomes a party to this Agreement as an Investor Stockholder pursuant to Section 2.1(b), in each case, only for so long as such Person holds Stockholder Shares.
