Investor Shares definition

Investor Shares shall have the meaning given in the Recitals hereto.

Investor Shares means the Conversion Shares, the Warrant Shares and any other shares issued or issuable to an Investor pursuant to this Agreement or any of the Securities.

• In addition to the conveyance of the Beneficial Ownership Interest, Investors shall grant Company the irrevocable option (the “Conversion Rights”) to convert the Beneficial Ownership Interest to full, legal ownership of the Investor Shares upon the terms and conditions outlined in the Trust Declaration and as further provided herein.

• Such surviving provisions include, but are not limited to, those relating to the security interest in the collateral, the provisions relating to the Custodian and right to inspect Investor Shares and Company Records, and any obligations or rights that, by their nature, extend beyond the Closing.

More Definitions of Investor Shares

Investor Shares means an amount of the Public Shares presently held by Investor equal to the lesser of an aggregate amount of (i) [ ] Public Shares, and (ii) 9.9% of the Public Shares that are not to be redeemed, including those Public Shares subject to non-redemption agreements with other SK Growth shareholders similar to this Agreement on or about the date of the Meeting. The Sponsor and SK Growth agree to provide Investor with the final number of Investor Shares subject to this Agreement no later than 9:30 a.m. Eastern on the business day prior to the date of the Meeting (and in all cases a sufficient amount of time to allow the Investor to reverse any exercise of Redemption Rights with regard to any Investor Shares), provided, that such amount shall not exceed [ ] Public Shares.

Investor Shares has the meaning set forth in the Stockholders Agreement and shall include any stock, securities or other property or interests received by the Investors in respect of Investor Shares in connection with any stock dividend or other similar distribution, stock split or combination of shares, recapitalization, conversion, reorganization, consolidation, split-up, spin-off, combination, repurchase, merger, exchange of stock or other transaction or event that affects the Company’s capital stock occurring after the date of issuance.

Investor Shares means (a) all shares of Common Stock originally issued to, or issued with respect to shares originally issued to, or held by, an Investor, whenever issued, including all shares of Common Stock issued upon the exercise, conversion or exchange of any Options, Warrants or Convertible Securities and (b) all Options, Warrants and Convertible Securities originally granted or issued to an Investor (treating such Options, Warrants and Convertible Securities as a number of Shares equal to the number of Equivalent Shares represented by such Options, Warrants and Convertible Securities for all purposes of this Agreement except as otherwise specifically set forth herein).

Investor Shares means the shares of Common Stock issued pursuant to the Purchase Agreement.
