Except with respect to Transfers approved under ARTICLE II, the Voting Party may not, directly or indirectly, assign any of its rights or delegate any of its obligations under this Agreement, by operation of law or otherwise, without the prior written consent of the Majority Stockholders.
Majority Stockholders agree that they shall exercise their duty as proxyholders in accordance with the terms of this Section 1.2.
