Investment in Properties definition

Investment in Properties means the amount of gross proceeds of the Offering actually paid or allocated to the purchase, development, construction or improvement of properties acquired by the Partnership, including the purchase of properties, working capital reserves (except that working capital reserves in excess of 5% of the gross proceeds of the Offering shall not be included) and other cash payments such as interest, closing costs, financing fees, taxes and other similar items, but excluding Front-End Fees.
Investment in Properties means the amount of Capital Contributions used to make or invest in mortgage loans or the amount actually paid or allocated to the purchase and development of the Facilities or the Operating Partnership Interests (including the purchase of properties, working capital reserves allocable thereto (except that working capital reserves in excess of 5% shall not be included), and other cash payments such as interest and taxes but excluding Front-End Fees). "Limited Partner" means any Person who is designated as a Limited Partner on the books and records of the Fund at the time of reference thereto, in each such Person's capacity as a Limited Partner of the Fund. "Limited Partnership Interest" means the ownership interest of the Assignor Limited Partner and all other Limited Partners in the Fund. "Limited Partnership Interest Percentage" in respect of any Investor means the percentage obtained by converting to a percentage the fraction having the number of Assignee Units owned by such Investor as its numerator and having the number of Assignee Units owned by all Investors at the time of reference thereto as its denominator. "Majority Vote of the Investors" shall mean the affirmative vote of Investors owning more than 50% of the outstanding Units. "Management Agreements" means those certain agreements to be entered into by the Operating Partnerships and the Nursing Center Manager pursuant to which the Nursing Center Manager shall manage each of the Facilities for a fee of 6% of the total revenues of the Facilities, provided however, that one-half of the management fee (3% of total revenues) payable in respect of a Development
Investment in Properties means the amount of Gross Proceeds paid or allocated either to the purchase of Real Properties acquired by the Partnership or to the making of Mortgage Loans made by the Partnership, Working Capital Reserves not in excess of 2% of the Gross Proceeds, and any other cash payment such as interest and taxes but excluding Front-End Fees.

Examples of Investment in Properties in a sentence

  • The General Partner shall commit a percentage of Gross Proceeds of the Offering to Investment in Properties which, at a minimum, is equal to the greater of: (i) 80% of the Gross Proceeds of the Offering reduced by .1625% for each 1% of the aggregate indebtedness of the Partnership; or (ii) 67% of Gross Proceeds of the Offering.

  • If the Front-End Fees must be reduced for the Partnership to commit the minimum percentage of Gross Proceeds of the Offering to Investment in Properties as set forth above, the General Partner shall cause JMB or its Affiliates to reimburse the Partnership for the amount of any such excess Acquisition Fees and Acquisition and Financing Guaranty Fee received by them.

  • In such event, the amount paid to the Limited Partners shall include Front-End Fees but only to the extent such fees exceed the adjusted allowable Front-End Fees based on the obligation of the General Partners pursuant to Section 12.2(b) hereof to commit at least the Minimum Investment Percentage of remaining Capital Contributions to Investment in Properties.

  • When "Acquisition Fees" are paid by the seller of properties, such fees shall not be included in satisfying the required minimum Investment in Properties.

  • Additionally, in determining the amount committed to Investment in Properties, such calculation shall not take into account any Front-End Fees.

  • For purposes hereof, "Investment in Properties" is the amount of capital contributions actually paid or allocated to the purchase, development, construction or improvement of properties acquired by the Partnership (including working capital reserves not in excess of 5% of gross offering proceeds) but excluding front-end fees.

  • The Partnership's Investment in Properties shall not be less than eighty percent (80%) of the gross proceeds of the Partnership's offering of Units made pursuant to Section 6.1(b)(3) hereof.

  • The percentage required to be committed to Investment in Properties must be at least equal to the greater of (a) 80% of the gross proceeds of the offering reduced by .1625% for each 1% of indebtedness encumbering the Partnership's properties (the percent of indebtedness encumbering Partnership properties is calculated by dividing the aggregate indebtedness encumbering Partnership properties by the aggregate purchase price of such properties) or (b) 67% of the gross proceeds of the offering.

  • As indicated under the "Estimated Use of Proceeds" table appearing above, however, it is anticipated that the Partnership's Investment in Properties will be well in excess of the amount required under these rules.

  • The Partnership will commit not less than 85% of the gross proceeds of this offering to Investment in Properties.


More Definitions of Investment in Properties

Investment in Properties means the amount of Capital Contributions actually paid or allocated to the purchase, development, construction or improvement of properties acquired by the Partnership (including the purchase of properties, working capital reserves allocable thereto (except that reserves in excess of 4% of the gross proceeds of the offering of the Units shall not be included) and other cash payments such as interest and taxes, but excluding Front-End Fees).
Investment in Properties means the amount of Capital Contributions actually paid or allocated to the purchase and development of the Properties (including the purchase of Properties, Working Capital Reserves allocable thereto (except that Working Capital Reserves in excess of 3% shall not be included), and other cash payments such as interest and taxes, but excluding Front-End Fees). "Leases" means those certain agreements to be entered into by the Partnership and the Parking Lot Operator pursuant to which the Parking Lot Operator shall lease, operate and manage each of the Properties. "Limited Partner" means any Person who is designated as a Limited Partner on the books and records of the Partnership at the time of reference thereto, in each such Person's capacity as a Limited Partner of the Partnership. "Limited Partnership Interest" means the ownership interest of the Assignor Limited Partner and all other Limited Partners in the Partnership.

Related to Investment in Properties

  • Investment Related Property means: (i) all “investment property” (as such term is defined in Article 9 of the UCC) and (ii) all of the following (regardless of whether classified as investment property under the UCC): all Pledged Equity Interests, Pledged Debt, the Investment Accounts and certificates of deposit.

  • Investment Assets means all debentures, notes and other evidences of Indebtedness, stocks, securities (including rights to purchase and securities convertible into or exchangeable for other securities), interests in joint ventures and general and limited partnerships, mortgage loans and other investment or portfolio assets owned of record or beneficially by the Company.

  • PIPE Investment has the meaning specified in the Recitals hereto.

  • Real Estate-Related Securities shall have the meaning set forth in the Charter.

  • Other Properties shall have the meaning set forth in Section 9.1.

  • Real Estate Assets means any investment by the Company or the Operating Partnership in unimproved and improved Real Property (including fee or leasehold interests, options and leases), directly, through one or more subsidiaries or through a Joint Venture.

  • Investments as defined in Section 7.8.

  • Undepreciated Real Estate Assets as of any date means the cost (original cost plus capital improvements) of real estate assets of the Company and its Subsidiaries on such date, before depreciation and amortization, determined on a consolidated basis in accordance with GAAP.

  • Real Estate-Related Assets means any investments by the Company or the Operating Partnership in Mortgages and Real Estate-Related Securities.

  • Permitted Existing Investments means the Investments of the Borrower and its Subsidiaries identified as such on Schedule 1.1.2 to this Agreement.

  • Portfolio Assets means the portion of the net assets of the Fund managed by the Sub-Adviser pursuant to the following investment strategy as agreed to by the Adviser and the Sub-Adviser in a separately negotiated investment mandate: Emerging Markets (each a “Strategy”).

  • Excluded Properties the collective reference to the fee or leasehold interest in real properties owned by the Parent Borrower or any of its Subsidiaries not described in Schedule 5.8.

  • Mezzanine Investments means debt Securities (including convertible debt Securities (other than the “in-the-money” equity component thereof)) and Preferred Stock in each case (a) issued by public or private issuers, (b) issued without registration under the Securities Act, (c) not issued pursuant to Rule 144A under the Securities Act (or any successor provision thereunder), (d) that are not Cash Equivalents and (e) contractually subordinated in right of payment to other debt of the same issuer.

  • Qualified Property has the meaning set forth in Section 313.021(2) of the TEXAS TAX CODE and as interpreted by the Comptroller’s Rules and the Texas Attorney General, as these provisions existed on the Application Review Start Date.

  • Real Estate Business means homebuilding, housing construction, real estate development or construction and related real estate activities, including the provision of mortgage financing or title insurance.

  • Estate in Real Property A fee simple estate in a parcel of land.

  • Real Estate Investment Trust means any Person that qualifies as a real estate investment trust under Sections 856 through 860 of the Code.

  • Existing Equity Interests means any Equity Security, including all issued, unissued, authorized, or outstanding shares of capital stock and any other common stock, preferred stock, limited liability company interests, and any other equity, ownership, or profit interests of Mariposa Intermediate, including all options, warrants, rights, stock appreciation rights, phantom stock rights, restricted stock units, redemption rights, repurchase rights, convertible, exercisable, or exchangeable securities, or other agreements, arrangements, or commitments of any character relating to, or whose value is related to, any such interest or other ownership interest in Mariposa Intermediate, whether or not arising under or in connection with any employment agreement and whether or not certificated, transferable, preferred, common, voting, or denominated “stock” or a similar security.

  • Permitted Equity Interests means common stock of the Borrower that after its issuance is not subject to any agreement between the holder of such common stock and the Borrower where the Borrower is required to purchase, redeem, retire, acquire, cancel or terminate any such common stock.

  • Investment Vehicles means any investment company or pooled investment fund, including, but not limited to, mutual fund families, exchange-traded funds, fund of funds and hedge funds, in which a Defendant has or may have a direct or indirect interest, or as to which its affiliates may act as an investment advisor, but of which a Defendant or its respective affiliates is not a majority owner or does not hold a majority beneficial interest.

  • Owned Properties has the meaning set forth in Section 3.16.

  • Unencumbered Properties means each Acceptable Property that either (a) is an Initial Unencumbered Property or (b) becomes an Unencumbered Property pursuant to Section 4.03, and “Unencumbered Property” means any one of the Unencumbered Properties.

  • Owned Real Estate means all land, together with all buildings, structures, fixtures, and improvements located thereon and all easements, rights of way, and appurtenances relating thereto, owned by the Company or any of its Subsidiaries.

  • Real Estate means all Leases and all land, together with the buildings, structures, parking areas, and other improvements thereon, now or hereafter owned by any Loan Party, including all easements, rights-of-way, and similar rights relating thereto and all leases, tenancies, and occupancies thereof.

  • Real Estate Asset means, at any time of determination, any interest (fee, leasehold or otherwise) then owned by any Credit Party in any real property.
