Parking Lot Operator definition

Parking Lot Operator means (i) Allright Auto Parks, Inc. or an Affiliate, or (ii) such other person selected by the Partnership to operate the Properties. "Partner" means any General Partner or Limited Partner. "Partnership" means the limited partnership formed in accordance with this Agreement by the parties hereto, as said limited partnership may from time to time be constituted.
Parking Lot Operator means a person, association, corporation, partnership, joint venture, or any other business arrangement or organization, including a Park and Fly Hotel, also referred to in this Ordinance as "Permittee," that provides parking for vehicles, which utilizes the Airport for the purpose of picking up or delivering Airport Customers and transporting Airport Customers to or from parking lot facilities located off the Airport. Off-Airport Rental Car Businesses that offer parking to Airport Customers are also considered Parking Lot Operators and the Concession Fee shall apply to that portion of its business that offers parking.

"Preferred Return" means the cumulative, non-compounded annual return equal to 12% of the Adjusted Capital Balance of each Investor commencing as of the first day of the calendar quarter immediately following the calendar quarter in which such Investor was admitted to the Partnership, except as set forth in Section 7.2.E in regard to transferred or assigned Units, less any Net Cash Flow distributed to each Investor pursuant to Section 4.3 and any Net Proceeds from a Sale or Financing distributed to each Investor in respect of the Preferred Return pursuant to Section 4.2A(i). "Profit" or "Loss" means, for each fiscal year or other period, an amount equal to the Partner- ship's taxable income or loss for such year or period, with the following adjustments: (i) any income of the Partnership that is exempt from federal income tax shall be added to such taxable income or loss; (ii) any expenditures of the Partnership described in Section 705(a)(2)(B) of the Code, or treated as Section 705(a)(2)(B) of the Code expenditures pursuant to Income Tax Reg. ss.1.704-1(b)(2)(iv)(i), shall be subtracted from such taxable income or loss; and (iii)

  • At all times when the Parking Lot is closed, monthly permit holders shall be afforded access to the Parking Lot by means of a magnetic card or other procedure provided by Landlord or the Parking Lot Operator.

  • The Lessee's use of the Parking Lots on a permanent basis or within the framework of a subscription shall require a separate agreement to be signed with the Lessor and/or the Management Company and/or the Parking Lot Operator, in the format attached as Appendix "I" to this Agreement.

  • The Parking Lot Operator shall make an effort to notify the Lessee prior to exercising its authority as specified above, insofar as it is possible to do so.

  • It is hereby agreed that the Lessee shall be responsible and liable vis-à-vis the Lessor and/or the Management Company and/or the Parking Lot Operator with respect to any claim or contention on the part of the Parking Lot Operator or any third party against anyone bringing a car into the Parking Lot by virtue of a Parking Card allocated to the Lessee, provided that this shall not apply to things over which the Lessee has no control, such as acts of terror.

  • Parking vehicles in the Parking Lots is at the sole liability of the vehicle owner or driver and no obligation to guard the vehicles or any other liability in connection therewith and/or in connection with their contents is imposed on the Lessor and/or the Management Company and/or the Parking Lot Operator.
