Initial Notice of Borrowing definition

Initial Notice of Borrowing means the Notice of Borrowing given by the Borrower with respect to the Initial Loans which shall also specify the method of disbursement.

Initial Notice of Borrowing means a Notice of Borrowing that (i) specifies a requested Advance of not less than $1,000,000, (ii) specifies an Advance Date not more than sixty (60) days after the Closing Date and (iii) is revocable by the Borrower only if, at any time prior to the specified Advance Date, the Advances Outstanding exceed $1,000,000.

Examples of Initial Notice of Borrowing in a sentence

• The Borrowers, through the Borrowers' Representative, shall give the Administrative Agent an Initial Notice of Borrowing at least two Business Days' prior to the occurrence of the Effective Date.

• An Initial Notice of Borrowing from the Borrowers' Representative to the Administrative Agent requesting the Initial Loans and specifying the method of disbursement.

• Each Term Loan Lender will make a Base Rate Loan in an amount equal to its Proportionate Share of the aggregate principal amount of the Term Loans properly requested in the Initial Notice of Borrowing available to the Administrative Agent, for the account of the Borrowers, at the Administrative Agent's Office, prior to 12:00 noon on the Effective Date (assuming satisfaction of the applicable conditions set forth in Article 6) in funds immediately available to the Administrative Agent.

• The Borrowers shall give the Agent an Initial Notice of Borrowing at least two Business Days' prior to the occurrence of the Effective Date.

• The Borrower shall give the Agent an Initial Notice of Borrowing with respect to the Term Loan not later than 11:00 a.m. on the Effective Date, and such initial borrowing shall be a Prime Rate Term Loan.

• On the Effective Date, upon satisfaction of the applicable conditions set forth in ARTICLE 6, the Administrative Agent will disburse the Term Loan on the Effective Date, in same day funds in accordance with the terms of the Initial Notice of Borrowing.

• The Term Loan shall be funded in one Advance on the Closing Date in accordance with the Initial Notice of Borrowing.

More Definitions of Initial Notice of Borrowing

Initial Notice of Borrowing means the notice of borrowing dated as of --------------------------- February 16, 1996 delivered by Borrower to Banks which specifies the amounts and Interest Periods (which for the initial Advances covered thereby only may differ from the requirements in the definition of Interest Period) for the initial Advances to be made hereunder on the Closing Date.
