Notice of Borrowing definition

Notice of Borrowing has the meaning specified in Section 2.02(a).

Notice of Borrowing shall have the meaning provided in Section 1.03(a).

Notice of Borrowing means a notice in the form of Exhibit C to be delivered to the Agent pursuant to Section 2.1.(b) evidencing the Borrower’s request for a borrowing of Revolving Loans.

• The Subsequent Loan shall be requested in writing sent via facsimile or electronic transmission by a Notice of Borrowing executed by an authorized officer of the applicable Borrower not later than 1:00 p.m. (New York City time) on any Business Day.

• Such Notice of Borrowing shall not thereafter be revocable by the borrowing Borrower and shall obligate the borrowing Borrower to accept the Loans requested from the Banks on the Borrowing Date.
