Request for Borrowing definition

Request for Borrowing has the meaning provided in Section 2.3(a).

Request for Borrowing means with respect to a Borrowing, conversion or continuation of Term Loans, a Committed Loan Notice.

Request for Borrowing means a written request for a Borrowing substantially in the form of Exhibit F, signed by a Responsible Official of Borrower, and properly completed to provide all information required to be included therein.

Examples of Request for Borrowing in a sentence

• Any Request for Borrowing received by the Administrative Agent after the Specified Time shall be deemed to have been given by the Borrowers on the next succeeding Business Day.

• Each Request for Borrowing submitted by the Borrowers shall be deemed to be a representation and warranty that the conditions specified in Sections 6.1 and 6.2 and, to the extent applicable, Section 6.3, have been satisfied on and as of the date of the applicable Borrowing.

• The Administrative Agent shall promptly notify each Lender of the receipt of a Request for Borrowing, a Conversion Notice or a Rollover Notice, the amount of the Borrowing and the amount and currency of such Lender’s Pro Rata Share of the applicable Loans, the date the Borrowing is to be made, the Interest Option selected, the Interest Period selected, if applicable, and the applicable rate of interest.

• Ladies and Gentlemen: This Request for Borrowing is executed and delivered by each undersigned Bxxxxxxx to the Administrative Agent pursuant to Section 2.3(a) of the Credit Agreement.

• No Request for Borrowing shall be valid hereunder for any purpose unless it shall have been accompanied or preceded by the information and other documents required to be delivered in accordance with this Section 2.3.

More Definitions of Request for Borrowing

Request for Borrowing means an irrevocable written notice from any of the individuals identified on Exhibit R-1 attached hereto (or, in certain cases, two of such individuals, all as set forth in further detail in Exhibit R-1 attached hereto) to Agent of Administrative Entity’s request for an Advance or for the issuance of a Letter of Credit, which notice shall be substantially in the form of Exhibit R-2 attached hereto.

Request for Borrowing means, (a) with respect to a Borrowing, conversion or continuation of Loans, a Loan Notice, and (b) with respect to an L/C Credit Extension, the related Request for Letter of Credit and Letter of Credit Application.

Request for Borrowing means a written request for a Borrowing --------------------- substantially in the form of Exhibit "C" attached hereto, signed by a ----------- Responsible Official of the Company and properly completed to provide all information required to be included thereon.

Request for Borrowing means a request by Borrower for a Borrowing in accordance with Section 2.2.

Request for Borrowing shall have the meaning set forth in Section 2.2(a) of this Agreement.

Request for Borrowing means, in connection with a Floor Plan Loan or a Swing Line Loan, under the Floor Plan Commitment, a Request for Borrowing substantially in the form attached hereto as Exhibit 1.1D, and in the case of an Acquisition Loan or a Swing Line Loan under the Acquisition Commitment, a Request for Borrowing substantially in the form attached hereto as Exhibit 1.1E.

Request for Borrowing shall have the meaning set forth in Section 2.2(a) of this Agreement. "Revolving Loan Commitment" shall mean the maximum outstanding amount to be funded by the Lending Company to the Borrowing Company. The aggregate sum which the Lending Company may loan to the Borrowing Company under this Agreement shall not exceed $40,000,000.
