Incremental Term Amount definition

Incremental Term Amount at any time, the excess, if any, of (a) $300,000,000 over (b) the aggregate amount of all Incremental Term Commitments established after the Closing Date pursuant to Section 2.4.
Incremental Term Amount means, as of any date of determination, an amount not in excess of the sum of (a) the Incremental Term Free and Clear Amount, plus (b) the Incremental Term Prepayment Amount, plus (c) the Incremental Term Incurrence-Based Amount; provided that any Permitted Term Indebtedness may be incurred in reliance on clause (c) regardless of whether there is capacity under clauses (a) or (b), or may be incurred in reliance in part on any clause and in part on any other clause, all as determined by the Borrower in its sole discretion and, in any event, the division, classification, redivision and reclassification of any such amounts shall be subject to Section 1.4.
Incremental Term Amount means, as of any date of determination, an amount not in excess of (a) (i) $225,000,000 minus (ii) the sum of (A) the excess, if any, of (x) the sum of (1) the aggregate amount of the Commitments then in effect plus (2) (but without duplication to the extent representing a usage of the Commitments) the aggregate principal amount of Indebtedness then outstanding under this Agreement over (y) $85,000,000, and (B) the aggregate principal amount of any Permitted Term Indebtedness incurred after the ClosingFirst Amendment Effective Date but prior to such date in reliance on this clause (a), plus (b) an additional amount so long as, in the case of this clause (b), after giving Pro Forma Effect to the incurrence of Permitted Term Indebtedness with respect to which the Incremental Term Amount is being determined and the use of proceeds thereof (but without netting the Cash proceeds of such Indebtedness), (i) in the case of incurrence of any Permitted Term Indebtedness that is secured, the Secured Net Leverage Ratio, determined as of the last day of the Test Period most recently ended on or prior to such date, shall not exceed 2:002.75:1.00 or (ii) in the case of incurrence of any Permitted Term Indebtedness that is unsecured, either (A) the Total Net Leverage Ratio, determined as of the last day of the Test Period most recently ended on or prior to such date, shall not exceed 3.75:1.00 or (B) solely in the case of the incurrence of any such Permitted Term Indebtedness the proceeds of which are used to finance a Permitted Acquisition, the Total Net Leverage Ratio, determined as of the last day of the Test Period most recently ended on or prior to such date, shall be lessnot greater than the Total Net Leverage Ratio, determined as of such date but without giving Pro Forma Effect to the incurrence of such Indebtedness and the use of proceeds thereof; provided that (xI) if, for purposes of determining capacity under clause (b) above, Pro Forma Effect is given to the entire committed amount of any Indebtedness with respect to which the Incremental Term Amount is being determined, such committed amount may thereafter be borrowed and reborrowed, in whole or in part, from time to time, without any further testing under this definition (provided that such committed amount shall, solely for purposes of calculating availability under clause (b) above and Section 6.1(l), at all times thereafter be deemed to be fully funded as Indebtedness for borrowed money) and (y), (II) in ...
