Fishers Business Employees definition

Fishers Business Employees means all individuals who are employed by the Sellers immediately prior to the Closing Date working at the Fishers Distribution Center (including (a) those on military leave and family and medical leave, (b) those on approved leaves of absence, but only to the extent they have reemployment rights guaranteed under federal or state Law, under any applicable collective bargaining agreement or under any leave of absence policy, and (c) those on short-term disability under a short-term disability program).

Examples of Fishers Business Employees in a sentence

  • The Fishers Business Employees who accept such offers shall be referred to as the “Transferred Employees.” As of the Effective Time, the Sellers shall terminate the employment of all Fishers Business Employees, other than the Retained Employees.

  • The Purchaser, before the Closing Date, shall offer employment to those Fishers Business Employees so listed on Schedule 6.3(a)(i).

  • The Purchaser has determined, in its discretion, to offer employment to those Fishers Business Employees listed on Schedule 6.3(a)(i).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Company Employee means an employee of the Company or any of its Subsidiaries.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Seller Employee Plan means any plan, program, policy, practice, Contract or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, including each “employee benefit plan,” within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Seller or any Seller Affiliate for the benefit of any Seller Employee, or with respect to which the Seller or any Seller Affiliate has or may have any liability or obligation, except such definition shall not include any Seller Employee Agreement.

  • Seller Plans has the meaning set forth in Section 3.13(a).

  • Company Personnel means any current or former director, officer or employee of the Company or any Company Subsidiary.

  • Company Employee Agreement means any management, employment, severance, change in control, transaction bonus, consulting, repatriation or expatriation agreement or other contract between any Group Company and any current or former employee, director or officer of such Group Company.

  • Benefit Plans shall have the meaning set forth in Section 3.13(a).

  • Company Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "employee benefit plan," within the meaning of Section 3(3) of ERISA which is or has been maintained, contributed to, or required to be contributed to, by the Company or any Affiliate for the benefit of any Employee, or with respect to which the Company or any Affiliate has or may have any liability or obligation;

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Protected Employees means employees of the Company who were employed by the Company at any time within six (6) months prior to the Determination Date.

  • Seller Plan means any Employee Benefit Plan maintained, or contributed to, by the Seller, any Subsidiary or any ERISA Affiliate.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.
