Seller Plans definition

Seller Plans has the meaning set forth in Section 3.13(a).

Seller Plans shall have the meaning set forth on Schedule 3.15.

Examples of Seller Plans in a sentence

• No "reportable event" (as defined in ERISA) has occurred with respect to any of the Seller Plans.

• No act or failure to act by Seller has resulted in a "prohibited transaction" (as defined in ERISA) with respect to the Seller Plans.

• Complete and accurate copies of (i) all Seller Plans which have been reduced to writing, (ii) written summaries of all unwritten Seller Plans, and (iii) all related trust agreements, insurance contracts and summary plan descriptions have been delivered or made available to the Buyer.

• All employees and independent contractors of Seller are properly classified as such for all purposes, including without limitation, the Seller Plans.

More Definitions of Seller Plans

Seller Plans shall have the meaning set forth in Section 4.20(b).

Seller Plans means all Employee Plans that are sponsored, maintained or contributed to by Seller or an Affiliate of Seller on behalf of the Subject Employees.

Seller Plans means all Benefit Plans that are sponsored, maintained or contributed to by Seller or RVEP on behalf of the U.S. Employees.

Seller Plans means each “employee benefit plan” (within the meaning of Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended (“ERISA”)), and each severance, change in control, retention or employment plan, program or agreement, and vacation, incentive, bonus, stock option, stock purchase, and restricted stock plan, program or policy under which any employee or former employee of the Business has any present or future right to benefits and under which Seller Parent, Seller or any of their ERISA Affiliates has had or has any present or future liability.

Seller Plans is defined in Section 2.13(a) hereof.

Seller Plans shall have the meaning assigned to such term in Section 6.06(f).
