With respect to each material International Employee Plan, the Group Companies have delivered to Acquiror a true and complete copy of the plan documents relating to such Company Employee Plan including all amendments thereto and all related trust documents.
No Group Company nor, to the Company’s Knowledge, any other Person, is in material breach of, or material default under, any Company Employee Plan.
Each Company Employee Plan that is intended to be qualified under Section 401(a) of the Code has received a favorable determination letter from the Internal Revenue Service or is the subject of a favorable opinion letter from the Internal Revenue Service on the form of such Company Employee Plan and, to the Company’s Knowledge, there are no facts or circumstances that would be reasonably likely to adversely affect the qualified status of any such Company Employee Plan or International Employee Plan.
Prior to the Closing, the Company shall adopt resolutions of its board of directors, and take all other action, as may be necessary to terminate any Company Employee Plan intended to be qualified under Section 401(a) of the Code, such termination to be contingent upon the Closing and effective as of no later than the day immediately preceding the Closing Date, unless Acquiror provides written notice to the Company determining otherwise no later than five (5) Business Days prior to the Closing.
