For purposes of this Agreement, a “Foreign Employee Plan” means each Company Employee Plan that has been adopted or maintained by the Company or any Subsidiary, whether formally or informally, or with respect to which the Company or any Subsidiary has any liability, in each case, with respect to any employee, director or consultant of the Company or any Subsidiary who performs services primarily outside of the United States.
To the extent included in Net Working Capital, Parent shall recognize all earned but unused paid vacation, sick leave, and other paid time off of the Continuing Employees as of the Closings and allow the Continuing Employees to use such earned but unused paid time off in accordance with the terms of the applicable Company Employee Plan as in effect immediately prior to the Closings.
